Common use of Satisfactory Proceedings Clause in Contracts

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you such Purchaser and your such Purchaser's special counsel, and you such Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, the Notes, the Warrants, the Bank Documents, the Acquisition Documents, and all documents necessary to the consummation thereofother Transaction Documents, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be reasonably satisfactory in form and substance to you the Purchaser and your its special counsel, and you the Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions. .

All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to for the consummation thereof, shall be satisfactory in form and substance to you Purchaser and your special its counsel, and you Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said such transactions.

All corporate and other proceedings taken in connection with the transactions contemplated by this Agreement, and all documents and instruments necessary to the consummation thereof, shall be satisfactory in form and substance to you the Purchasers and your such Purchasers’ special counsel, and you the Purchasers shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counselsuch Lender, and you such Lender shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereofthereof (including, specifically, but without limitation, the charter and bylaws of the Company), shall be satisfactory in form and substance to you Purchaser and your special its counsel, and you Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said such transactions.

Satisfactory Proceedings. All Such proceedings taken in connection with the transactions contemplated by this Agreement, and all such documents necessary to the consummation thereofthereof (including without limitation all Transaction Documents) shall have been executed by the appropriate parties thereto, shall be reasonably satisfactory in form and substance to you Investor and your special its counsel, and you Investor shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereofthereof (including the charter and bylaws of Borrower), shall be reasonably satisfactory in form and substance to you the Purchaser and your special its counsel, and you the Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said such transactions.

Satisfactory Proceedings. All corporate and other proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary and instruments incident to the consummation thereof, shall be satisfactory in form and substance to you the Purchasers and your such Purchasers’ special counsel, and you the Purchasers shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereofNotes, the Warrants, the other Operative Documents shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with ------------------------ the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and Solomon & Xxxxxxxxx, P.C., your special counsel, and you and your special counsel shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you the Company and your special its counsel, and you the Company shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, Agreement and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

All proceedings taken in connection with the transactions contemplated by this AgreementAmendment and Restatement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counselthe Purchaser, and you the Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said such transactions.

All On each of the Execution Date and the Closing Dates, all proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, the Warrants and the Strip Equity, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you and your special counsel, and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, the Indenture and the Mortgages and all documents necessary to the a consummation thereof, shall be satisfactory in form and substance to you and your special counsel, counsel and you shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.

Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement, and all documents necessary to the consummation thereof, shall be satisfactory in form and substance to you the Purchasers and your special counselcounsel to the Purchasers, and you the Purchasers shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.
