Satisfactory Proceedings. All proceedings taken in connection with the transactions contemplated by this Agreement and all documents necessary to the consummation thereof, shall have been taken or delivered, as the case may be, shall be satisfactory in form and substance to special counsel to the Purchasers, and each Purchaser shall have received a copy (executed or certified as may be appropriate) of all legal documents or proceedings taken in connection with the consummation of said transactions.
