Common use of Savings Clause Clause in Contracts

Savings Clause. If this Agreement or any paragraph, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses, judgments, fines, interest or penalties, or excise taxes assessed with respect to any employee benefit or welfare plan, which are incurred with respect to any Proceeding to the fullest extent permitted by any (a) applicable paragraph, sentence, term or provision of this Agreement that has not been invalidated or (b) applicable law.

Savings Clause. If this Agreement or any paragraph, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses, judgments, fines, interest or penalties, or penalties for ERISA excise taxes assessed with respect to any employee benefit or welfare plan, which are incurred with respect to any Proceeding to the fullest full extent permitted by any (a) applicable paragraph, sentence, term or provision of this Agreement that has not been invalidated or (b) by any other applicable provision of applicable corporate law.

If this Agreement or any paragraph, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses, judgments, fines, interest forfeitures, disgorgements or penalties, or excise taxes or other amounts assessed with respect to any employee benefit or welfare plan, which are incurred with respect to any Proceeding to the fullest extent permitted by any (a) applicable paragraph, sentence, term or provision of this Agreement that has not been invalidated or (b) applicable provision of applicable law.

If this Agreement or any paragraph, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses, judgments, fines, interest or penalties, or excise taxes assessed with respect to any employee benefit or welfare plan, penalties which are incurred with respect to any Proceeding to the fullest extent permitted by any (a) applicable paragraph, sentence, term or provision of this Agreement that has not been invalidated or (b) applicable law.

If this Agreement or any paragraph, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses, monetary judgments, fines, interest or penalties, or excise taxes assessed with respect to any employee benefit or welfare plan, which are incurred with respect to any Proceeding to the fullest extent permitted by any (a) applicable paragraph, sentence, term or provision of this Agreement that has not been invalidated or (b) applicable law.

Savings Clause. If this Agreement or any paragraphsection, sentence, term or provision hereof of this Agreement is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses, judgments, fines, interest or penalties, or excise taxes assessed with respect to any employee benefit or welfare plan, Expenses which are incurred with respect to any Proceeding to the fullest extent permitted by any (a) applicable paragraphsection, sentence, term or provision of this Agreement that has not been invalidated or and (b) applicable law.

Savings Clause. If this Agreement or any paragraph, sentence, term or provision portion hereof is shall be invalidated on any ground by any a court of competent jurisdiction, then the Company shall nevertheless indemnify the Indemnitee as to any Expensescosts, charges and expenses (including attorneys’ fees), judgments, fines, interest or penalties, or excise taxes assessed fines and amounts paid in settlement and above expenses with respect to any employee benefit action, suit or welfare planproceeding, which are incurred with respect to any Proceeding whether civil, criminal, administrative or investigative, including an action by or in the right of the Company, to the fullest extent permitted by any (a) applicable paragraph, sentence, term or provision portion of this Agreement that has shall not have been invalidated or (b) and to the fullest extent permitted by applicable law.

Savings Clause. If this Agreement or any paragraph, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company Corporations shall nevertheless indemnify the Indemnitee as to any Expenses, judgments, fines, interest or penalties, or excise taxes assessed with respect to any employee benefit or welfare plan, which are Losses and Expenses incurred with respect to any Proceeding Claim to the fullest full extent permitted by (i) any (a) applicable paragraph, sentence, term or provision of this Agreement that has not been invalidated invalidated, and (ii) any applicable provision of any Governing Documents or (b) applicable lawLaws.
