SCE Covenants. (a) SCE shall maintain and preserve its existence as a corporation formed under the laws of the State of California and all material rights, privileges and franchises necessary or desirable to enable it to perform its obligations under this Agreement. (b) SCE shall, comply with Applicable Laws with respect to the Product arising out of or in connection with SCE’s actions or inactions after taking delivery of the Product.
