School Representations and Warranties. School represents and warrants to Smart that: (a) it is a corporation duly organized, validly subsisting and in good standing under the laws of Alberta; (b) it has the power, capacity and authority to enter into and deliver this Agreement and perform its obligations hereunder, including, to execute and deliver all documents and instruments and do all acts contemplated by this Agreement and to perform its obligations under such documents and instruments; (c) Recitals A and C are true and correct; and (d) this Agreement has been duly executed and delivered by School and all documents required hereunder to be executed and delivered by School have been duly executed and delivered and this Agreement and such documents constitute legal, valid and binding obligations of School enforceable in accordance with their respective terms.
