SCOPE AND BACKGROUND. Under this Agreement Customer can: (i) acquire licenses for a specific number of Licensed Materials and related Documentation on either a Subscription or 99-year License basis, and (ii) obtain Maintenance Services for the Licensed Materials pursuant to the provisions of this Agreement. For Software licensed on a Subscription basis, Customer shall be permitted to Use the Software on a wide area network (“WAN”) basis as described in the applicable Product Quotation. For any Software acquired by Customer through an authorized Cadence reseller the following provisions of this Agreement shall not apply: 4, 6, 13.3(b) and 13.3(c). While Cadence shall remain the “licensor” for purposes of the grant of the licenses and other rights hereunder, and Customer shall remain the “licensee” for purposes of the obligations contained herein, Customer shall contract directly with the reseller for the purchase of License Keys and any Maintenance Services on Software provided by such authorized Cadence reseller.
SCOPE AND BACKGROUND. This Agreement puts into place a mechanism whereby Customer can: (i) temporarily license a number of Licensed Programs and its Documentation; and (ii) obtain Maintenance Services for the Licensed Programs pursuant to the provisions and during the Term of Use for such Licensed Programs. This Agreement has the following characteristics: (i) only Cadence Licensed Programs can be licensed; (ii) the duration of the Use of the Licensed Programs is limited to the Term of Use as specified in each Product Quotation attached to this Agreement; (iii) Maintenance Service charges are included as part of the Fees (as defined in Section 4 below); and (iv) any copy of the Licensed Programs can only be Used by Customer at a Designated Site or at remote sites in accordance with Section 3(c) of this Agreement. If Customer desires to acquire a license to Use any third party program marketed by Cadence, or a perpetual license to any Cadence Software, such acquisitions shall be a separate transaction outside the scope of this Agreement.

Ford SYNC Generation 2 Navigation system is an in-car navigation system designed to use Microsoft SYNC as the kernel and development platform for its infotainment system to support One Ford, One World vision. The objective of this Statement of Work (“SoW”) is to outline the schedule for the differences (delta) in Ford's requirements and TeleNav's PRD for [*****]. This scope of this SoW addresses only the baseline part of this project, covering [*****]. TeleNav shall address other regions in different SoWs. Unless otherwise indicated, all Developed Software delivered under this SoW is paid for and owned by Ford, pursuant to the terms and conditions of the Software Development Agreement.

SCOPE AND BACKGROUND i. REFREAD is a cloud based digital library platform, which facilitates search and access of library subscriptions and open access resources. This platform also offers a single search interface to the end-user/individual and acts as an intermediary to other databases. Refread agrees to provide services to the Subscriber as detailed in Schedule 1 of the agreement.
ii. Subscriber, being an institute/organization, hereby agrees to use the Services for the sole benefit of its faculty/students/researchers/employees (“end-users”), who regularly use the digital library platform for self-learning, research or connecting with various academic or literary services.
iii. The Services shall be hosted on servers maintained and operated by REFREAD, and the Subscriber shall have the right to utilize the Services through such hosted-servers. Services shall start functioning after receiving purchase order and database list format duly filled with complete source authentication information as desired for developing and delivering the Services. The payment for the REFREAD services shall be made by the Subscriber as per the terms mentioned in the proposal or tender document or the purchase order.
iv. REFREAD shall provide a dedicated IP address unique for the Subscriber on which Services shall be configured for access and to run searches. This IP shall be unique and shall only be used by Subscriber. The Subscriber may provide this IP address to Publishers in case IP Authentication is necessary to run searches or access content through Refread.

The Parties expect the Project to be implemented during the period from February 2018 to January 2020 (the Support Period).
