SCOPE AND PROCEDURE. The CONSULTANT shall conduct the SERVICES in accordance with the General Scope of Work attached to this CONTRACT as "Exhibit 2" and made a part hereof as if fully set forth herein. The performance of the SERVICES referred to in "Exhibit 2" shall be the primary basis for measurement of performance under this CONTRACT. The COMMISSION specifically reserves the right and privilege to enlarge or reduce the scope; or to cancel, any phase of any work assignment begun under this CONTRACT at any time. Upon notification by the MDOT Project Manager or his designee, the CONSULTANT may be advised of a time and place for a Scope of Work Meeting to discuss the proposed work of a specific Work Assignment. The Scope of Work Meeting may include a detailed discussion of the specific information about the project, the schedule of the project, MDOT procedures, the services the CONSULTANT will be required to provide, and the contract administration. The MDOT Project Manager or his designee may authorize the CONSULTANT to conduct a preliminary visit to the project site to obtain essential information for preparing an estimate of time and costs to perform the work. The CONSULTANT shall submit minutes of the Scope of Work Meeting to the MDOT Project Manager or his designee within two (2) weeks after the meeting, unless instructed otherwise. The minutes shall include, but are not limited to, a list of attendees, a list of all requirements the CONSULTANT is responsible for, and a list of all action items by MDOT that are needed to finalize the CONSULTANT’S Scope of Work. Upon request of the MDOT Project Manager or his designee, the CONSULTANT shall complete the Exhibit 8 setting forth the specific Scope of Work, the progress schedule, and maximum cost (along with a cost fee breakdown) and submit the requested number of original signed copies to the MDOT Project Manager for review and further handling. Upon agreement between the parties, the CONSULTANT’s Exhibit 8 will be issued a Work Assignment number and a written Work Assignment setting forth the specific Scope of Work, the progress schedule, and maximum cost for that particular Work Assignment or phase shall be executed and attached to this CONTRACT as a part of “Exhibit 8". An Executed copy of the Work Assignment will then be forwarded to the CONSULTANT. The CONSULTANT may not begin work on any feature of any such Work Assignment prior to the Notice to Proceed date from the COMMISSION.

The CONSULTANT During the term of this Agreement, ADI shall conduct identify and retain a Dealer for each of the SERVICES in accordance with the General Scope of Work attached to this CONTRACT as "Exhibit 2" and made a part hereof as if fully set forth hereinCenters. The performance date of the SERVICES referred to in "Exhibit 2" shall be the primary basis for measurement of performance under this CONTRACT. The COMMISSION specifically reserves the right and privilege to enlarge or reduce the scope; or to cancel, any phase of any work assignment begun under this CONTRACT at any time. Upon notification by the MDOT Project Manager or his designee, the CONSULTANT may be advised ADI's placement of a time and place for Dealer at a Scope of Work Meeting to discuss the proposed work of a specific Work Assignment. The Scope of Work Meeting may include a detailed discussion of the specific information about the project, the schedule of the project, MDOT procedures, the services the CONSULTANT particular location will be required to provide, and termed the contract administration. The MDOT Project Manager or his designee may authorize the CONSULTANT to conduct "Assumption Date." ADI will confidentially notify FRC that it has located a preliminary visit to the project site to obtain essential information for preparing an estimate of time and costs to perform the work. The CONSULTANT shall submit minutes of the Scope of Work Meeting to the MDOT Project Manager or his designee within Dealer two (2) weeks after in advance of the meetingAssumption Date, unless instructed otherwiseon a Center by Center basis. By the Assumption Date, ADI is required to purchase the existing inventory at the invoice price, under eighteen months old, by arranging its own financing for the inventory at any particular Center. ADI will use due diligence to place qualified, independent Dealers in the Sales Centers identified on Schedule "A". In no event shall the entire process of locating and assigning fifty (50) Dealers to operate the identified Sales Centers take longer than twelve (12) months from the date of this Agreement. The minutes rights of the Dealer shall include, but are not limited to, a list exceed the rights of attendees, a list of all requirements the CONSULTANT is responsible forADI, and the Dealer shall be subject to the same termination and term provisions contained in this Agreement. The Dealer shall be required by ADI to fulfill all aspects and responsibilities of a list Dealer of manufactured housing. ADI shall monitor each Dealer in the ordinary course of business operations in the Centers and, at least one time per month, verify financing on sold homes, authorize deliveries in writing, document the location of each home in the Dealer inventory and report all action items liquidations to FRC at the end of each month with existing inventory levels and aging reports. ADI will assist Dealer as needed by MDOT that are needed to finalize consulting on all aspects of operating a retail manufactured housing dealership. ADI shall monitor each dealer in the CONSULTANT’S Scope ordinary course of Work. Upon request business operations of the MDOT Project Manager Centers and shall make its best effort to verify and assure that the Dealer is properly licensed and has sufficient financial capability to carry out its obligations to FRC and the general public, to be responsible for normal dealer service, set-up of homes, sales and installation of appurtenances and optional equipment. ADI shall make its best effort to verify and assure that the Dealer will indemnify FRC, including attorney's fees, with respect to any liability having to do with any Dealer operations, specifically with respect to Dealer's (or his designeeDealer's employees) own negligence, the CONSULTANT shall complete the Exhibit 8 setting forth the specific Scope of Workfraud, the progress schedulemisrepresentation or harassment, and maximum cost that the Dealer will carry appropriate liability insurance, with minimum coverage in the amount of one million dollars (along $1,000,000.00) per occurrence, with FRC and its parent company, Fleetwood Enterprises, Inc. named as an additional insured. ADI shall also use its best efforts to assure that the Dealer shall provide a cost fee breakdown) and submit the requested number certificate of original signed copies insurance to the MDOT Project Manager for review and further handling. Upon agreement between the parties, the CONSULTANT’s Exhibit 8 will be issued a Work Assignment number and a written Work Assignment setting forth the specific Scope of Work, the progress schedule, and maximum cost for that particular Work Assignment or phase shall be executed and attached to this CONTRACT as a part of “Exhibit 8". An Executed copy of the Work Assignment will then be forwarded to the CONSULTANT. The CONSULTANT may not begin work on any feature of any such Work Assignment prior to the Notice to Proceed date from the COMMISSIONFRC documenting liability coverage.
