Scope and Project Documents. 3.1. This MOU sets forth the intentions of the Parties for increased collaboration, cooperation and interaction and does not create any legally binding commitments that the Parties will enter into collaborations or undertake specific joint projects. If the Parties later agree to undertake specific joint projects or other methods of cooperation (as described below) with legally binding obligations, they will develop separate written agreements for such projects, setting out each Party’s contributions, deliverables, budgets, duration, and the Parties’ publication and intellectual property rights (the “Project Document”). Each Party will also appoint a responsible person for the formulation and implementation of the concerned project. A Project Document shall be signed by an authorized representative of each Party and shall clearly define, among other items the following: a. The name of the project and each participant; b. The problem antecedent, identification and justification; c. The objectives, components, goals and execution time; d. The responsibilities and division of the tasks between the Parties/participants, including partial and final reports (if any); e. Work plan (program/scope of work, human resources, material, budget, financial resources, and each participant’s contribution); f. Each Party’s mandatory financial support and financial resources; g. Project duration; h. The Parties’ publication and intellectual property rights; i. The names of Party contacts; j. Results dissemination; k. A clause regarding conflicts resolution; l. A clause regarding termination. 3.2. All activities conducted under this MOU and any Project Document will be in accordance with all applicable institutional rules and regulations of each Party, and all applicable national, state and local laws, rules and regulations. 3.3. Nothing in this MOU obligates either Party to, or will constitute a representation by a Party that it will, enter into future Project Documents. 3.4. Nothing in this MOU shall be construed as an exclusive working relationship. The Parties hereby agree that they are not bound exclusively by this MOU and shall be at liberty to enter into any separate agreements or arrangements with any third party without reference to the other Parties.
