SCOPE OF SUPPLIER AGREEMENT. 2.1 The purpose of this Supplier Agreement is to set out the process which will apply to the awarding of Agreements by the Council via the DPS for the provision of Services by the Service Provider and the terms and conditions which will apply to any such Agreements. 2.2 The Council may from time to time procure Services from the Service Provider via the DPS in accordance with the procedure set out in the DPS Entry and Operation Guide and this Supplier Agreement but the Council shall not be obliged to award any Agreements via the DPS to the Service Provider and even where the Council has followed the procedures in the DPS Entry and Operation Guide and this Supplier Agreement leading up to the award of an Agreement it may decline to award an Agreement. 2.3 The Service Provider shall provide the Council with any Services required in accordance with an Agreement which shall be deemed to incorporate the terms and conditions of this Supplier Agreement relating to the provision of Services and may include additional terms and conditions. 2.3.1 shall be deemed to incorporate the terms and conditions of this Supplier Agreement relating to the provision of Services, including the Specification to the extent that it applies to the specific Service Category under which the Agreement is awarded; and 2.3.2 may include additional terms and conditions. 2.4 The Service Provider shall provide the Services in a professional and prompt manner using reasonable skill, care and diligence and suitably qualified Staff in sufficient numbers. 2.5 The parties shall work together and individually, in accordance with this Supplier Agreement, to achieve a transparent and co-operative exchange of information in all matters relating to this Supplier Agreement. 2.6 The Council may update the DPS Entry and Operation Guide at any time throughout the duration of the DPS, provided that the Council provides all suppliers with fair and open access to such updates with reasonable advance notice. 2.9 The Service Provider acknowledges that once awarded by the Council and accepted by the Service Provider, an Agreement shall be a legally binding agreement between the Service Provider and the Council.

Irrespective of whether an LCP Member has followed the procedures in the DPS Entry and Operation Guide and this Supplier Agreement leading up to the award of an a Service Agreement it may decline to award an such a Service Agreement. 2.3 In the event that an LCP Member opts at its sole discretion not to award a Services Agreement to a Service Provider pursuant to clause 2.2 above then, for the avoidance of doubt, none of the LCP Members shall be liable for any loss of profits, loss of contracts or other costs or losses suffered by the Service Provider as a result of the Service Provider not being awarded one or more Service Agreements during the term of this Supplier Agreement. 2.4 No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by any LCP Member in respect of the total quantities or values of the Services to be ordered by them pursuant to the Supplier Agreement and the Service Provider acknowledges and agrees that it has not entered into this Supplier Agreement on the basis of such statement, promise, representation or obligation. 2.5 The Service Provider shall provide the Council LCP Member with any Services required in accordance with an a Service Agreement which shall be deemed to incorporate the terms and conditions of this Supplier Agreement relating to the provision of Services and may include additional terms and conditions.which: 2.3.1 2.5.1 shall be deemed to incorporate the terms and conditions of this Supplier Agreement relating to the provision of Services, including the Specification to the extent that it applies to the specific Service Category under which the Service Agreement is awarded; and 2.3.2 2.5.2 may include additional terms and conditionsconditions required to be incorporated by any LCP Member. 2.4 2.6 The Service Provider shall provide the Services in a professional and prompt manner using reasonable skill, care and diligence and suitably qualified Staff in sufficient numbers. 2.5 2.7 The parties Council and the Service Provider shall work together and individually, in accordance with this Supplier Agreement, to achieve a transparent and co-operative exchange of information in all matters relating to this Supplier Agreement. 2.6 2.8 The Council may update the DPS Entry and Operation Guide at any time throughout the duration of the DPS, provided that the Council provides all suppliers the Service Provider with fair and open access to such updates with reasonable advance notice. 2.9 The Service Provider acknowledges that once awarded by the Council an LCP Member and accepted by the Service Provider, an a Service Agreement shall be a legally binding agreement between the Service Provider and the CouncilLCP Member. 2.10 The Service Provider hereby acknowledges that each LCP Member is independently responsible for the conduct of its Call-Off under this Supplier Agreement and that the Council is not responsible or accountable for and shall have no liability whatsoever in relation to: 2.10.1 the conduct of any other LCP Member in relation to this Supplier Agreement; or 2.10.2 the performance or non-performance of (including payments due under) any Service Agreement between the Service Provider and any other LCP Member entered into pursuant to this Supplier Agreement.

SCOPE OF SUPPLIER AGREEMENT. 2.1 The purpose of this 3.1 This Supplier Agreement is to set out governs the process which will apply to the awarding of Agreements by relationship between the Council via and the DPS for Supplier in respect of the provision of Services by the Service Provider and Supplier to the Council when procured and/or transacted through the DPS. The Supplier must agree to the terms of the Supplier Agreement prior to acceptance into the DPS. For the avoidance of doubt, the Supplier’s acceptance of the Supplier Agreement shall not guarantee the Supplier’s acceptance into the DPS, which shall be subject to successful completion of the Accreditation and conditions which will apply Enrolment 3.2 In the event of a conflict between the terms of any of the Contract Documents, then the documents shall take precedence in the following order: (a) The Service Agreement; (b) The Supplier Agreement Terms and Conditions set out in Schedule 1 to any such Agreements.this Supplier Agreement 2.2 (c) The Supplier Agreement; (d) The DPS Entry Guide; (e) The Self-Billing Agreement 3.3 The Council may at its absolute discretion and from time to time procure time, order Services from the Service Provider via the DPS Supplier in accordance with the procedure set out in the DPS Entry and Operation Guide and this Guide. The Supplier Agreement but acknowledges that there is no obligation whatsoever on the Council shall not be obliged to award purchase any Agreements via Services from the DPS to Supplier during the Service Provider and even where Term. Notwithstanding the fact that the Council has followed the procedures procedure set out in the DPS Entry and Operation Guide and this Supplier Agreement leading up or DPS Entry Guide, the Council shall be entitled at all times to the award of an Agreement it may decline to make an award an Agreementfor its Requirement. 2.3 The Service Provider shall provide the Council with any Services required in accordance with an Agreement which shall be deemed to incorporate the terms and conditions of this Supplier Agreement relating to the provision of Services and may include additional terms and conditions. 2.3.1 shall be deemed to incorporate the terms and conditions of this Supplier Agreement relating to the provision of Services, including the Specification to the extent that it applies to the specific Service Category under which the Agreement is awarded; and 2.3.2 may include additional terms and conditions. 2.4 The Service Provider shall provide the Services in a professional and prompt manner using reasonable skill, care and diligence and suitably qualified Staff in sufficient numbers. 2.5 The parties shall work together and individually, in accordance with this Supplier Agreement, to achieve a transparent and co-operative exchange of information in all matters relating to this Supplier Agreement. 2.6 3.4 The Council may update the DPS Entry Guide and Operation Guide Supplier Agreement Terms and Conditions at any time throughout the duration Term of the DPSContract, provided that the Council provides all suppliers with fair and open access to such updates changes with reasonable advance notice. 2.9 3.5 The Service Provider Supplier warrants that all information submitted within the Accreditation and Enrolment is correct and accurate at the time of submission and shall ensure that all necessary and appropriate Accreditation and Enrolment checks and details are kept up to date throughout the Term. In the event that the Supplier’s status or compliance to any of the Selection Criteria changes throughout the Term of the Contract, then the Supplier shall inform the Council immediately and the Supplier acknowledges that the Council reserves the right to, at its sole discretion, expel the Supplier from the DPS, dependent upon the nature of such changes, particularly if such changes are to the detriment of the performance or standards of this Contract. 3.6 The Council reserves the right to request re-submission of any Selection Criteria or other Accreditation or Enrolment details throughout the duration of the Contract, and may perform audit checks of any such or existing Accreditation or Enrolment information. 3.7 The Supplier acknowledges that once awarded by agreed via the Council and accepted by the Application, a Service Provider, an Agreement shall be is a legally binding agreement between the Service Provider Supplier and the Council and must be adhered to in accordance with the terms of the Contract. This Supplier Agreement shall govern the relationship between the Council and the Supplier in respect of the provision of the Services by the Supplier to the Council.
