SCOPE OF WORK AND DUTIES. A. A&W shall perform any and all work necessary for the provision of General Counsel services to Agency, including, without limitation, the following: (i) Attendance at Agency Board meetings unless excused by the Executive Director or his/her designee, and other board and commission meetings on request of the Executive Director or his/her designee; and (ii) Provide legal advice, written legal opinions, and consultation on all matters affecting the Agency to the Agency Board, Executive Director, boards, commissions, committees, officers, and employees of Agency and as requested by the Agency Board, the Executive Director, or his/her designee, in accordance with such policies and procedures as may be established by Agency from time to time; and (iii) Be available for telephone consultation with Agency staff, as needed on legal matters which are within their area of operation and maintain office hours at City Hall as requested by the Executive Director at times mutually agreed to by the Executive Director and designated General Counsel; and (iv) Prepare or review necessary legal documents such as: ordinances and resolutions; all agreements of any nature; all real property instruments of any nature including purchase agreements and escrows, leases, covenants, deeds, easements and licenses; bond size, amount, and offering terms and conditions; public works construction documents including bid specifications, contracts, bonds, insurance, liens and related documents; memorandums of understanding; franchise agreements; and all similar documents, all as requested by Agency; and (v) Represent and advise Agency on pending and potential litigation as requested by Agency; notwithstanding the foregoing, it is expressly understood that A&W shall not be responsible for any pending litigation matter(s) handled by attorneys previously or otherwise employed by the Agency until all files have been transferred to A&W and A&W has specifically appeared in the matter(s) as attorneys of record on behalf of Agency; and (vi) Monitor pending and current legislation and case law as appropriate; and (vii) Supervise outside legal services, if any. B. A&W, as a full-service law firm, is prepared to, and will upon request of Agency, provide representation to Agency in all of its legal affairs, including, but not limited to, land use, environmental, toxics, housing, finance, contracts, and other matters, except where conflicts exist or where the Agency Board may otherwise direct. The General Counsel shall represent Agency in all of the foregoing legal matters, and in initiating and defending all litigation unless otherwise directed by the Agency Board. C. The General Counsel will keep Agency informed as to the progress and status of all pending matters in accordance with such procedures as the Agency may establish from time to time. The General Counsel is expected to manage, control and oversee the delivery of legal services in a competent, professional, and cost-effective manner. All legal services shall be properly supervised and all personnel shall be qualified to handle the work assigned. If outside special counsel is retained, unless otherwise directed by the Agency Board, such special counsel shall be supervised by the General Counsel. D. All legal services shall be coordinated under the direction of the Executive Director. Notwithstanding any other provision contained herein, any legal services can only be authorized by the Agency Board or Executive Director. Nothing in this Agreement shall be construed in any manner as limiting the ultimate and absolute discretion of the Agency Board, at any time, to assign or reassign legal matter of Agency from or to A&W.

SCOPE OF WORK AND DUTIES. A. A&W BWS shall perform any and all work necessary for the provision of General Counsel city attorney services to AgencyCity, including, including without limitation, limitation of the following: (i) Attendance at Agency Board meetings City Council meetings, including any joint meeting of City and the Cayucos Sanitary District Wastewater Treatment Plant (under Joint Powers Agreement), unless excused by the Executive Director City Manager or his/her designee, and Planning Commission and other board and commission meetings on request of the Executive Director City Manager Los Angeles – Inland Empire – Marin County – Oakland – Orange County – Palm Desert – San Diego – San Francisco – Silicon Valley – Ventura County or his/her designee; provided, that the parties understand attendance at the joint meeting and Planning Commission meeting will at some point be attended by the assigned Deputy City Attorney; and (ii) Provide legal advice, written legal opinions, and consultation on all matters affecting the Agency City to the Agency BoardCity Council, Executive DirectorCity Manager, boards, commissions, committees, officers, and employees of Agency City and as requested by the Agency BoardCity Council, the Executive DirectorCity Manager, or his/her designee, in accordance with such policies and procedures procedures. as may be established by Agency City from time to time; and (iii) Be available for telephone consultation with Agency City staff, as needed on legal matters which are within their area of operation and maintain office hours at City Hall as requested by the Executive Director at times mutually agreed to by the Executive Director and designated General Counseloperation; and (iv) Prepare or review necessary legal documents such as: ordinances ordinances, and resolutions; all agreements of any nature; all real property instruments of any nature including purchase agreements and escrows, leases, covenants, deeds, easements and licenses; bond size, amount, and offering terms and conditions; public works construction documents including bid specifications, contracts, bonds, insurance, liens and related documents; memorandums memorandum of understanding; franchise agreements; and all similar documents, all as requested by Agency; and (v) Represent and advise Agency City on pending and potential litigation as requested by Agencylitigation; notwithstanding the foregoing, it is expressly understood that A&W BWS shall not be responsible for any pending litigation matter(s) handled by attorneys previously or otherwise employed by the Agency City until all files have been transferred to A&W BWS and A&W BWS has specifically appeared in the matter(s) as attorneys of record on behalf of AgencyCity; and (vi) Hold weekly or other office hours at City Hall at a time agreed to with City Manager; and (vii) Represent the City in front of any state or local legislative, administrative or regulatory entity or agency, as directed by the City Manager or City Council; provided, that such representation would be considered special services; and (viii) Monitor pending and current legislation and case law as appropriate; and (viiix) Supervise outside legal services, if any. B. A&WBWS, as a full-service law firm, is prepared to, and will upon request of Agencywill, provide representation to Agency City in all of its legal affairs, including, but not limited to, municipal law, land use, environmental, toxics, water, tort defense, personnel, labor representation, code enforcement, criminal prosecution, economic development, housing, cable television, finance, franchising, contracts, enterprise and other matters, except where conflicts exist or where the Agency Board City Council may otherwise direct. The General Counsel city attorney shall represent Agency City in all of the foregoing legal matters, and in initiating and defending all litigation unless otherwise directed by the Agency Board.City Council, C. A&W shall perform any and all work necessary for the provision of General Counsel City Attorney services to AgencyCity, including, without limitation, the following: (i) Attendance at Agency Board City Council, Redevelopment Agency, and Planning Commission meetings unless excused by the Executive Director City Administrator or his/her designee, and other board and commission meetings on request of the Executive Director City Administrator or his/her designee; and (ii) Provide legal advice, written legal opinions, and consultation on all matters affecting the Agency City to the Agency BoardCity Council, Executive DirectorCity Administrator, boards, commissions, committees, officers, and employees of Agency City and as requested by the Agency BoardCity Council, the Executive DirectorCity Administrator, or his/her designee, in accordance with such policies and procedures as may be established by Agency City from time to time; and (iii) Be available for telephone consultation with Agency City staff, as needed on legal matters which are within their area of operation and maintain office hours at City Hall as requested by the Executive Director City Administrator at times mutually agreed to by the Executive Director City Administrator and designated General CounselCity Attorney; and (iv) Prepare or review necessary legal documents such as: ordinances and resolutions; all agreements of any nature; all real property instruments of any nature including purchase agreements and escrows, leases, covenants, deeds, easements and licenses; bond size, amount, and offering terms and conditions; public works construction documents including bid specifications, contracts, bonds, insurance, liens and related documents; memorandums of understanding; franchise agreements; and all similar documents, all as requested by AgencyCity; and (v) Represent and advise Agency City on pending and potential litigation as requested by AgencyCity; notwithstanding the foregoing, it is expressly understood that A&W shall not be responsible for any pending litigation matter(s) handled by attorneys previously or otherwise employed by the Agency City until all files have been transferred to A&W and A&W has specifically appeared in the matter(s) as attorneys of record on behalf of AgencyCity; and (vi) Monitor pending and current legislation and case law as appropriate; and (vii) Supervise outside legal services, if any. The General Counsel City Attorney shall represent Agency City in all of the foregoing legal matters, and in initiating and defending all litigation unless otherwise directed by the Agency BoardCity Council. C. The General Counsel City Attorney will keep Agency City informed as to the progress and status of all pending matters in accordance with such procedures as the Agency City may establish from time to time. The General Counsel City Attorney is expected to manage, control and oversee the delivery of legal services in a competent, professional, and cost-effective manner. SCOPE OF WORK AND DUTIES. A. A&W LAW FIRM shall perform any and all work necessary for the provision of General Counsel City Attorney services to AgencyCity, including, without limitation, the following: (i) Attendance at Agency Board Attend all meetings unless excused of the City Council, and provide advice or opinion in writing whenever requested to do so by the Executive Director City Council or his/her designee, and other board and commission meetings on request by any of the Executive Director or his/her designee; and (ii) Provide legal advice, written legal opinions, and consultation on all matters affecting the Agency to the Agency Board, Executive Directorofficers, boards, commissions, committees, officers, and employees of Agency and the City as requested by the Agency BoardCity Council, the Executive Directoror City Manager, or his/her designee, in accordance with such policies and procedures as may be established by Agency City from time to time; and; (ii) At the request of the City Manager or his/her designee, attend all meetings of the Planning Commission and other board and commission meetings, unless excused by the City Manager or his/her designee; (iii) Represent and advise the City Council and all City officers in all matters of law pertaining to their offices; (iv) Be available for telephone consultation with Agency City staff, as needed needed, on legal matters which are within their area of operation operation, and maintain regular office hours at City Hall as requested by the Executive Director City Manager at times mutually agreed to by the Executive Director City Manager and designated General Counsel; andCity Attorney; (ivv) Prepare or review necessary legal documents such as: ordinances and resolutions; all agreements of any nature; all real property instruments of any nature including purchase agreements and escrows, leases, covenants, deeds, easements and licenses; bond size, amount, and offering terms and conditions; public works construction documents including bid specifications, contracts, bonds, insurance, liens and related documents; memorandums of understanding; franchise agreements; and all similar documents, all as requested by Agency; andCity; (vvi) Represent Monitor the City Prosecutor Office’s criminal legal proceedings and advise Agency on such criminal cases involving violations of the City ordinances, as well as misdemeanor offenses and infractions arising from violations of the laws of the state, which occur within the City’s jurisdiction; (vii) Monitor pending and potential litigation as requested by AgencyCity and advise as necessary; notwithstanding the foregoing, it is expressly understood that A&W LAW FIRM shall not be responsible for any pending litigation matter(s) handled by attorneys previously or otherwise employed by the Agency City until all files have been transferred to A&W LAW FIRM and A&W LAW FIRM has specifically appeared in the matter(s) as attorneys of record on behalf of Agency; andCity; (viviii) Monitor pending and current legislation and case law as appropriate; (ix) Monitor and/or supervise outside legal services; (x) Represent and appear for the City, any City officer or employee, or former City officer or employee, in any or all actions and proceedings in which the City or any such officer or employee, in or by reason of his official capacity, is concerned or is a party; and (viixi) Supervise outside legal services, if anyPerform other related duties as required. A&W, as a full-service law firm, is prepared to, and LAW FIRM will upon request of Agency, provide consultation and/or representation to Agency City in all of its legal affairs, including, but not limited to, municipal law, land use, environmental, toxicstort defense, personnel, labor representation, code enforcement, redevelopment, housing, financefranchising, contractstransportation, enterprise and other matters, except where conflicts exist or where the Agency Board City Council may otherwise direct. The General Counsel City Attorney shall represent Agency City in all of the foregoing legal matters, matters and in initiating and defending all litigation litigation, unless special counsel is retained for a particular matter upon the advice of the City Attorney, or otherwise directed by the Agency BoardCity Council,. C. The General Counsel City Attorney will keep Agency City informed as to the progress and status of all pending matters in accordance with such procedures as the Agency City may establish from time to time. The General Counsel City Attorney is expected to manage, control and oversee the delivery of legal services in a competent, professional, and cost-effective manner. All legal services shall be properly supervised and all personnel shall be qualified to handle the work assigned. If with the approval of the City Council outside special counsel is retained, unless otherwise directed by the Agency BoardCity Council, such special counsel shall be supervised by the General CounselCity Attorney. D. All legal services shall be coordinated under the direction of the Executive DirectorCity Manager. Notwithstanding any other provision contained herein, any legal services can only be authorized by the Agency Board City Council or Executive DirectorCity Manager. Nothing in this Agreement shall be construed in any manner as limiting the ultimate and absolute discretion of the Agency BoardCity Council, at any time, to assign or reassign a legal matter of Agency City from or to A&W.LAW FIRM.

A&W shall perform any and all work necessary for the provision of General Counsel City Attorney services to AgencyCity, as set forth in the Municipal Code, including, without limitationbut not limited to, the following: (i) Attendance at Agency Board meetings City Council, Planning Commission, or Successor Agency, Housing Authority, Public Financing Authority, or other affiliated entities, unless excused by the Executive Director City Manager or his/her designee, and other board and commission meetings on request of the Executive Director City Manager or his/her designee; and (ii) Provide legal advice, written legal opinions, and consultation on all matters affecting the Agency City to the Agency BoardCity Council, Executive DirectorCity Manager, boards, commissions, committees, officers, and employees of Agency City and as requested by the Agency BoardCity Council, the Executive DirectorCity Manager, or his/her designee, in accordance with such policies and procedures as may be established by Agency City from time to time; and (iii) Be available for telephone consultation with Agency City staff, as needed on legal matters which are within their area of operation and maintain office hours at City Hall as requested by the Executive Director at times mutually agreed to by the Executive Director and designated General Counseloperation; and (iv) Prepare or review necessary legal documents such as: ordinances ordinances, and resolutions; all agreements of any nature; all real property instruments of any nature including purchase agreements and escrows, leases, covenants, deeds, easements and licenses; bond size, amount, and offering terms and conditions; public works construction documents including bid specifications, contracts, bonds, insurance, liens and related documents; memorandums memorandum of understanding; franchise agreements; and all similar documents, all as requested by Agency; and (v) Represent and advise Agency City on pending and potential litigation as requested by Agencylitigation; notwithstanding the foregoing, it is expressly understood that A&W shall not be responsible for any pending litigation matter(s) handled by attorneys previously or otherwise employed by the Agency City until all files have been transferred to A&W and A&W has specifically appeared in the matter(s) as attorneys of record on behalf of AgencyCity; and (vi) Hold office hours at City Hall, if requested, at a time agreed to with City Manager; and (vii) Attend management staff and agenda review meetings at a time agreed to with City Manager; and (viii) Monitor pending and current legislation and case law as appropriate; and (viiix) Supervise outside legal services, if any.
