Common use of Scottish Appointment Matters Clause in Contracts

Scottish Appointment Matters. (i) The Administrative Agent declares that it holds in trust for the Secured Parties, on the terms contained in this Article X: (A) the Collateral expressed to be subject to the Liens created in favor of the Administrative Agent as trustee for the Secured Parties by or pursuant to each Collateral Document which is governed by or subject to the laws of Scotland, and all proceeds of that Collateral; (B) all obligations expressed to be undertaken by any Obligor to pay amounts in respect of the Obligations to the Administrative Agent as trustee for the Secured Parties and secured by any Collateral Document which is governed by or subject to the laws of Scotland together with all representations and warranties expressed to be given by any Obligor or any other Person in favor of the Administrative Agent as trustee for the Secured Parties; and (C) any other amounts or property, whether rights, entitlements, choses in action or otherwise, actual or contingent, which the Administrative Agent is required by the terms of the Loan Documents to hold as trustee in trust for the Secured Parties.

Scottish Appointment Matters. (ia) The Administrative Agent declares that it holds in on trust for the Secured Parties (as defined in the Domestic Security Agreement) (the "Trust Parties"), on the terms contained in this Article XSection 15: (Ai) the Collateral expressed to be subject to the Liens created in favor of the Administrative Agent as trustee for the Secured Trust Parties by or pursuant to each Collateral Document which is governed by or subject to the laws of Scotland, and all proceeds of that Collateral; (Bii) all obligations expressed to be undertaken by any Obligor Loan Party to pay amounts in respect of the Obligations to the Administrative Agent as trustee for the Secured Trust Parties and secured by any Collateral Document which is governed by or subject to the laws of Scotland together with all representations and warranties expressed to be given by any Obligor Loan Party or any other Person person in favor favour of the Administrative Agent as trustee for the Secured Trust Parties; and (Ciii) any other amounts or property, whether rights, entitlements, choses in action or otherwise, actual or contingent, which the Administrative Agent is required by the terms of the Loan Documents to hold as trustee in on trust for the Secured Trust Parties.
