SEC Documents; Financial Statements; Liabilities. (a) UNIFAB has filed all required reports, schedules, forms, statements and other documents with the SEC since September 18, 1997. As of their respective dates, the UNIFAB Disclosure Documents, and any such reports, forms and documents filed by UNIFAB with the SEC after the date hereof, complied, or will comply, in all material respects with the requirements of the Securities Act or the Exchange Act, as the case may be, and the rules and regulations of the SEC promulgated thereunder applicable to such UNIFAB Disclosure Documents, and, except to the extent that information contained in any UNIFAB Disclosure Document has been revised or superseded by a later filed UNIFAB Disclosure Document, none of such Documents contains any untrue statement of a material fact or omits to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.

As of their respective dates, the UNIFAB Disclosure DGC SEC Documents, and any such reports, forms and documents filed by UNIFAB DGC with the SEC after the date hereof, complied, or will comply, as to form in all material respects with the requirements of the Securities Act or the Exchange Act, as the case may be, and the rules and regulations of the SEC promulgated thereunder applicable to such UNIFAB Disclosure DGC SEC Documents, andand none of the DGC SEC Documents contained, except or will contain, any untrue statement of a material fact or omitted to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading. Except to the extent that information contained in any UNIFAB Disclosure DGC SEC Document has been revised or superseded by a later filed UNIFAB Disclosure DGC SEC Document, none of such the DGC SEC Documents contains any untrue statement of a material fact or omits to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.

As of their respective dates, the UNIFAB Disclosure Tidewater Documents, and any such reports, forms and documents filed by UNIFAB Tidewater with the SEC after the date hereof, complied, or will comply, as to form in all material respects with the requirements of the Securities Act or the Exchange Act, as the case may be, and the rules and regulations of the SEC promulgated thereunder applicable to such UNIFAB Disclosure Tidewater SEC Documents, andand none of the Tidewater SEC Documents contained, except or will contain, any untrue statement of a material fact or omitted to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading. Except to the extent that information contained in any UNIFAB Disclosure Tidewater SEC Document has been revised or superseded by a later filed UNIFAB Disclosure Tidewater SEC Document, none of such the Tidewater SEC Documents contains any untrue statement of a material fact or omits to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
