Common use of SEC Filings and Approvals Clause in Contracts

SEC Filings and Approvals. The parties shall have prepared and Cabinets shall, to the extent required under applicable law, have filed with the SEC any such documentation that Fortune Brands determines, in its sole and absolute discretion, is necessary or desirable to effectuate the Distribution and the other transactions contemplated by this Agreement and the Transaction Agreements, and each party shall have obtained all necessary approvals from the SEC.
