Common use of SEC Filings and the Sxxxxxxx-Xxxxx Act Clause in Contracts

SEC Filings and the Sxxxxxxx-Xxxxx Act. (a) The Company has filed with or furnished to the SEC, and made available to Parent, all reports, schedules, forms, statements, prospectuses, registration statements and other documents required to be filed or furnished by the Company since June 30, 2012 (collectively, together with any exhibits and schedules thereto and other information incorporated therein, the “Company SEC Documents”).

SEC Filings and the Sxxxxxxx-Xxxxx Act. (a) The Company has filed with or furnished to the SEC, and made available to Parent, all reports, schedules, forms, statements, prospectuses, registration statements and other documents required to be filed or furnished by the Company since June 30January 1, 2012 2010 (collectively, together with any exhibits and schedules thereto and other information incorporated therein, the “Company SEC Documents”).

SEC Filings and the Sxxxxxxx-Xxxxx Act. (a) The Company has filed with or furnished to the SEC, and made available to Parent, Parent all of its reports, schedules, forms, statements, prospectusesschedules, registration statements and other documents required to be filed or furnished by the Company or any of its Subsidiaries with the SEC since June 30December 31, 2012 2005 (collectivelythe documents referred to in this Section 4.7(a), together with any exhibits and schedules thereto and other all information incorporated thereinby reference therein in accordance with applicable SEC regulations, are collectively referred to in this Agreement as the “Company SEC Documents”).

(a) The Company timely has filed with or furnished to the SEC, and made available to Parent, all reports, schedules, forms, statements, prospectuses, registration statements and other documents required to be filed with or furnished to the SEC by the Company since June 30March 31, 2012 2011 (collectively, together with any exhibits and schedules thereto and other information incorporated therein, in each case, as amended, the “Company SEC Documents”).

SEC Filings and the Sxxxxxxx-Xxxxx Act. (a) The Company has filed with or furnished to the SEC, and made available to ParentParent to the extent not publicly available on the SEC’s EXXXX filing system, all reports, schedules, forms, statements, prospectuses, registration statements and other documents required to be filed with or furnished to the SEC by the Company since June 30January 1, 2012 (collectively, as have been supplemented, modified or amended since the time of filing, together with any exhibits and schedules thereto and other information incorporated therein, the “Company SEC Documents”).
