Common use of SEC Form Clause in Contracts

SEC Form. The Company shall use its best efforts to cause Demand Registrations to be registered on Form S-3 (or any successor form), and if the Company is not then eligible under the Securities Act to use Form S-3, Demand Registrations shall be registered on Form S-1 (or any successor form). If a Demand Registration is a Convertible Registration or an Exchange Registration, the Company shall effect such registration on the appropriate Form under the Securities Act for such registrations. The Company shall use its best efforts to become eligible to use Form S-3 and, after becoming eligible to use Form S-3, shall use its best efforts to remain so eligible.

The Company Holdings shall use its best efforts to cause Demand Registrations to be registered on Form S-3 (or any successor form), and if the Company Holdings is not then eligible under the Securities Act to use Form S-3, Demand Registrations shall be registered on Form S-1 (or any successor form)the form for which Holdings then qualifies. If a Demand Registration is a Convertible Registration or an Exchange Registration, the Company Holdings shall effect such registration on the appropriate Form form under the Securities Act for such registrations. The Company Holdings shall use its best efforts to become eligible to use Form S-3 and, after becoming eligible to use Form S-3, shall use its best efforts to remain so eligible.

The Company Propel shall use its best efforts to cause Demand Registrations to be registered on Form S-3 (or any successor form), and if the Company Propel is not then eligible under the Securities Act to use Form S-3, Demand Registrations shall be registered on Form S-1 (or any successor form). If a Demand Registration is a Convertible Registration or an Exchange Registration, the Company Propel shall effect such registration on the appropriate Form under the Securities Act for such registrations. The Company Propel shall use its best efforts to become eligible to use Form S-3 and, after becoming eligible to use Form S-3, shall use its best efforts to remain so eligible.
