Common use of SEC Registration and Reporting Clause in Contracts

SEC Registration and Reporting. a. Assist Fund counsel in annual updates, or any other amendments or supplements, of the Fund’s Registration Statement on Form N-2. b. Prepare and file annual and semiannual shareholder reports, Form N-SAR/Form N-CEN, Form N-CSR, Form N-Q/Form N-Port filings and, if applicable, Rule 24f-2 notices and Form N-PX filings. c. Coordinate the printing, filing and mailing of Prospectuses and shareholder reports, and amendments and supplements thereto. d. File fidelity bond under Rule 17g-1. e. Monitor sales of Fund shares and ensure that such shares are properly registered or qualified, as applicable, with the SEC and the appropriate state authorities. f. Assist Fund counsel in preparation of proxy statements and information statements, as requested by the Fund.

Assist Prepare and file, with the assistance of Fund counsel in Counsel, annual updates, or and any other amendments or supplements, of interim updates to the FundTrust’s Registration Statement on Form N-2Statement. b. Prepare and file summary prospectus, with the assistance of Fund counsel (applicable in 2016) c. Prepare and file annual and semiannual shareholder reports, Form N-SAR/Form N-CEN, Form N-CSR, Form N-Q/Form N-Port filings and, if applicable, Rule 24f-2 notices and Form N-PX Q filings., Rule 24f-2 notices, and c. d. Coordinate the printing, filing and mailing of Prospectuses and shareholder reports, and amendments and supplements thereto. d. e. File fidelity bond under Rule 17g-1. e. f. Monitor sales of Fund shares and ensure that such shares are properly registered or qualified, as applicable, with the SEC and the appropriate state authorities. f. g. Assist Fund counsel with application for exemptive relief, when applicable.

As requested by the Trust, prepare and file Form N-PX filings. c. Coordinate the printing, filing and mailing of Prospectuses Prospectuses, SAIs and shareholder reports, and amendments and supplements thereto. d. File fidelity bond under Rule 17g-1. e. Monitor sales of Fund shares and ensure that such shares are properly registered or qualified, as applicable, with the SEC and the appropriate state authorities. f. Assist Fund counsel in preparation of proxy statements and information statements, as requested by the FundTrust.
