Common use of Secretary’s Certificate; Organizational Documents; Good Standing Certificates Clause in Contracts

Secretary’s Certificate; Organizational Documents; Good Standing Certificates. The Agent shall have received (i) a certificate of each Loan Party, dated the Closing Date, in form and substance reasonably acceptable to Agent, with appropriate insertions and attachments, including the certificate of incorporation/formation or other similar organizational document of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party (to the extent such certification is available in the relevant jurisdiction), the bylaws, operating agreements or other similar organizational document of each Loan Party and the relevant board resolutions or written consents of each Loan Party, and (ii) a good standing certificate, or comparable certificate (to the extent available) for any jurisdiction outside of the US, as applicable, for each Loan Party from its jurisdiction of organization.

The Agent shall have received (i) a certificate of each Loan Party, dated as of the Closing Eighth Amendment Effective Date, in form and substance reasonably acceptable to Agent, with appropriate insertions and attachments, including the certificate of incorporation/formation or other similar organizational document of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party (to the extent such certification is available in the relevant jurisdiction), the bylaws, operating agreements or other similar organizational document of each Loan Party and the relevant board resolutions or written consents of each Loan Party, and (ii) a good standing certificate, or comparable certificate (to the extent available) for any jurisdiction outside of the USUnited States, as applicable, for each Loan Party from its jurisdiction of organization.

The Administrative Agent shall have received (i) a certificate of each Loan Party, dated the Closing Date, substantially in the form and substance reasonably acceptable to Agentof Exhibit C, with appropriate insertions and attachments, including the certificate of incorporation/formation incorporation or other similar organizational document of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party (to the extent such certification is available in the relevant jurisdiction), the bylaws, operating agreements bylaws or other similar organizational document of each Loan Party and the relevant board resolutions or written consents of each Loan Party, and (ii) a good standing certificate, or comparable certificate (to the extent available) for any jurisdiction outside of the US, as applicable, for each Loan Party from its jurisdiction of organization.

The Agent shall have received (i) a certificate of each Loan Party, dated as of the Closing Seventh Amendment Effective Date, in form and substance reasonably acceptable to Agent, with appropriate insertions and attachments, including the certificate of incorporation/formation or other similar organizational document of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party (to the extent such certification is available in the relevant jurisdiction), the bylaws, operating agreements or other similar organizational document of each Loan Party and the relevant board resolutions or written consents of each Loan Party, and (ii) a good standing certificate, or comparable certificate (to the extent available) for any jurisdiction outside of the USUnited States, as applicable, for each Loan Party from its jurisdiction of organization.
