Common use of Section 1445 Certificate Clause in Contracts

Section 1445 Certificate. At Closing, Seller shall execute and deliver to Purchaser (i) a certificate stating that Seller is not a “foreign person” as defined in Section 1445 of the Internal Revenue Code and the regulations thereunder, (ii) an IRS Form 1099 with respect to this transaction, and (iii) such other documents or instruments as may be required by the Internal Revenue Code (or regulations promulgated pursuant thereto).

Section 1445 Certificate. At Closing, Seller shall execute and deliver to Purchaser (i) and the Title Company a certificate substantially in the form as Exhibit "D" attached hereto stating that Seller is not a “foreign person” as defined in Section 1445 of the Internal Revenue Code and the regulations thereunder, (ii) an IRS Form 1099 with respect to this transaction, and (iii) such other documents or instruments as may be required by the Internal Revenue Code (or regulations promulgated pursuant thereto).

Section 1445 Certificate. At Closing, Seller shall execute and deliver to Purchaser (ia) a certificate substantially in the form of Schedule 12.9 attached hereto stating that Seller is not a “foreign person” as defined in Section 1445 of the Internal Revenue Code and the regulations thereunder, and (iib) an IRS Form 1099 with respect to this transaction, transaction and (iii) such other documents or instruments as may be required by the Internal Revenue Code (or regulations promulgated pursuant thereto).
