Section 6.01 Assignment. This Agreement may not be assigned by either party without prior written consent of the other party, which consent shall not be unreasonably withheld. Any assignment shall not terminate the liability of the assignor to perform unless a specific release in writing is given and signed by the other parties to this Agreement.
Section 6.01 Assignment. This Agreement shall not be assignable, in whole or in part, by any Party to any third party, including Affiliates of any Party, without the prior written consent of the other Party, and any attempted assignment without such consent shall be null and void. Notwithstanding the foregoing, this Agreement may be assigned by any Party as follows without obtaining the prior written consent of the other Party:
