Section 6.19. Updated Financial Statements. The Seller shall use its best efforts to, on or prior to February 15, 2006, the Seller shall deliver to the Company (i) the audited consolidated balance sheet as of December 31, 2005 (including related notes and schedules, if any), of the Seller, (ii) the audited consolidated statement of income for the year ended December 31, 2005 (including related notes and schedules, if any), of the Seller, and (iii) the audited consolidated statements of cash flows and stockholders’ equity for the year ended December 31, 2005, (including related notes and schedules, if any), of the Seller (the “Seller 2005 Financial Statements”), together with the unqualified audit opinion thereon as of and for the year ended December 31, 2005.
