SECTION OWNERSHIP OF PROPERTY; LIENS; COMMON STOCK. As of the Effective Date (and on each date on which representations and warranties are made or deemed made under this Agreement), each of the Borrower and its Subsidiaries and FLAG Telecom have good and valid title to (or, if applicable, valid leasehold interests or rights of use in) (i) the Collateral (owned as of such date), (ii) in the case of the Borrower and its Subsidiaries, to all of their respective assets comprising a part of the Project and (iii) in the case of the Borrower and its Subsidiaries, to all of their respective other assets free and clear of all Liens except Permitted Liens. The Rights-of-Way granted to the Borrower are free and clear of all Liens other than Permitted Liens. As of the Effective Date, SCHEDULE 3.11(A) contains a true, accurate and complete list of (i) all real estate assets, and (ii) all leases, subleases or assignments of leases (together with all amendments, modifications, supplements, renewals or extensions of any thereof) affecting any real estate assets of the Borrower or any Subsidiary thereof, regardless of whether the Borrower or such Subsidiary is the landlord or tenant (whether directly or as an assignee or successor in interest) under such lease, sublease or assignment. As of the Effective Date except as specified in SCHEDULE 3.11(A), each agreement listed in clause (ii) of the immediately preceding sentence is in full force and effect and the Borrower does not have knowledge of any default that has occurred and is continuing thereunder that could reasonably be expected to have a Material Adverse Effect, and each such agreement constitutes the legal, valid and binding obligation of the Borrower or such Subsidiary, as applicable, enforceable against such party in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium or similar laws affecting the rights of creditors generally, general equitable principles (whether considered in a proceeding in equity or law) and an implied covenant of good faith and fair dealing.

In addition, at the Manager’s expense, Owner will perform any acts that may be deemed desirable by the Manager to evidence more fully the transfer of ownership of right, title and interest in the Proprietary Property to the Manager, including but not limited to the execution of any instruments or documents now or hereafter requested by the Manager to perfect, defend or confirm the assignment described herein, in a form determined by the Manager.
