SECTION THREE - Conditions to Effectiveness Clause Samples

SECTION THREE - Conditions to Effectiveness. This Amendment and Waiver shall become effective when, and only when, the Administrative Agent shall have received a counterparts of this Amendment and Waiver executed by the Required Lenders and the Borrower and an acknowledgment of this Amendment and Waiver executed by each Guarantor. The effectiveness of this Amendment and Waiver (other than Sections Six, Seven and Eight hereof) is conditioned upon the accuracy of the representations and warranties set forth in Section Four hereof.

SECTION THREE - Conditions to Effectiveness. This Amendment shall become effective when, and only when (a) the Administrative Agent shall have received (i) counterparts of this Amendment that, when taken together, bear the signatures of Borrower and the Required Lenders and (ii) the Amendment Fee, (b) the representations and warranties set forth in Section 4 hereof are true and correct and (c) all fees and expenses required to be paid or reimbursed by Borrower pursuant hereto or to the Credit Agreement or otherwise, including all invoiced fees and expenses of counsel to the Agents, shall have been paid or reimbursed, as applicable.

SECTION THREE - Conditions to Effectiveness. This Amendment and Waiver shall become effective when, and only when, the Administrative Agent shall have received (x) counterparts of this Amendment executed by the Borrower, (y) consents to this Amendment and Waiver from the Borrower and the Required Lenders and (z) to the Administrative Agent for the account of each Lender that has returned an executed signature page to this Amendment and Waiver to the Administrative Agent at or prior to 6:00 p.m., New York City time on October 29, 2010 (the “Consent Deadline”) a fee equal to 0.10% of the Commitment of such Lender at the Consent Deadline. The effectiveness of this Amendment and Waiver (other than Sections Six, Seven and Eight hereof) is conditioned upon the accuracy of the representations and warranties set forth in Section Four hereof.

SECTION THREE - Conditions to Effectiveness. This Amendment No. 3 shall become effective on the date on which the following condition is satisfied (the “Amendment No. 3 Effective Date”): the Administrative Agent shall have received counterparts of this Amendment No. 3 executed by each of the Loan Parties and the Required Lenders.

SECTION THREE - Conditions to Effectiveness. This Amendment shall become effective when, and only when, the Administrative Agent shall have received (i) counterparts of this Amendment executed by the Borrowers and consents to this Amendment executed by the Requisite Lenders and (ii) by wire transfer of immediately available funds, for the ratable account of each Lender signatory hereto, a fee equal to 0.25% of the aggregate principal amount of Term Loans plus the aggregate amount of Revolving Credit Commitments of the Lenders signatory hereto. The effectiveness of this Amendment (other than Sections Seven, Eight and Nine hereof) is conditioned upon the accuracy of the representations and warranties set forth in Section Five hereof. The Administrative Agent shall promptly deliver to the Borrowers notification of the effectiveness of this Amendment. Notwithstanding the foregoing or anything herein to the contrary, the effectiveness of the amendments in Section One shall be subject to the condition subsequent that the 2009 Notes have actually been issued.
