Common use of Securities Acquired by Xxxxxxx Mac Clause in Contracts

Securities Acquired by Xxxxxxx Mac. Xxxxxxx Mac may, from time to time, repurchase or otherwise acquire (either for cash or in exchange for newly-issued Debt Securities) all or a portion of any issue of Debt Securities. Any Debt Securities owned by Xxxxxxx Mac shall have an equal and proportionate benefit under the provisions of this Agreement, without preference, priority or distinction as among such Debt Securities, except that in determining whether the Holders of the required percentage of the outstanding principal amount (or notional principal amount) of an issue of Debt Securities have given any required demand, authorization, notice, consent or waiver under this Agreement, any Debt Securities owned by Xxxxxxx Mac or any person directly or indirectly controlling or controlled by or under direct or indirect common control with Xxxxxxx Mac shall be disregarded and deemed not to be outstanding for the purpose of such determination.
