Common use of Securities Act Exemptions Clause in Contracts

Securities Act Exemptions. The Parties are executing and delivering this Agreement in reliance upon exemptions from registration promulgated under the rules and regulations of the U.S. Securities and Exchange Commission under the Securities Act of 1933, as amended (“U.S. Securities Act”), and the British Columbia Securities Commission under the Securities Act of 1996, as amended (“B.C. Securities Act”).
