The Registration Statements shall have become effective under the Securities Act and no stop order suspending the effectiveness of the Registration Statements shall have been issued and no proceedings for that purpose shall have been initiated or threatened by the SEC. At or prior to the Effective Date, APP shall have received all state securities and "Blue Sky" permits necessary to consummate the transactions contemplated hereby. The APP Common Stock shall have been approved for listing on the Nasdaq National Market, subject only to official notification of issuance.
