Common use of Securities Dealers Clause in Contracts

Securities Dealers. The Advisor is authorized, for and on behalf, and at the sole cost and expense of the Company, to employ such securities dealers (including Affiliates of the Advisor) for the purchase and sale of Mortgage Assets as may, in the judgment of the Advisor, be necessary to obtain the best commercially available net results taking into account such factors as the policies of the Company, price, dealer spread, the size, type and difficulty of the transaction involved, the firm's general execution and operational facilities and the firm's risk in positioning the securities involved. Consistent with this policy, the Advisor is authorized to direct the execution of the Company's portfolio transactions to dealers and brokers furnishing statistical information or research deemed by the Advisor to be useful or valuable to the performance of its investment advisory functions for the Company.

The Advisor Manager is authorized, for and on behalf, and at the sole cost and expense of the Company, to employ such securities dealers (including Affiliates of the Advisor) for the purchase and sale of Mortgage Assets investment assets of the Company as may, in the good faith judgment of the AdvisorManager, be necessary to obtain the best commercially available net results for the Company taking into account such factors as the policies of the Company, price, dealer spread, the size, type type, timing and difficulty of the transaction involved, the firm's ’s general execution and operational facilities and the firm's ’s risk in positioning the securities involved. Consistent with this policy, the Advisor Manager is authorized to direct the execution of the Company's ’s portfolio transactions to dealers and brokers furnishing statistical information or research deemed by the Advisor Manager to be useful or valuable to the performance of its investment advisory functions for the Company.
