(a) Since December 12, 2002, the effective date of its acquisition by Waterford Sterling, Eternal has timely filed all forms, reports and documents required to be filed with the Securities and Exchange Commission, and has heretofore delivered to E-Sea, in the form filed with the Commission, (i) all quarterly and annual reports on Forms 10-QSB and 10-KSB filed since December 12, 2002, (ii) all other reports filed by Eternal with the Securities and Exchange Commission since December 31, 2004 (collectively, the "SEC Reports") and (iv) all comment letters from the Securities and Exchange Commission with respect to the SEC Reports. The SEC Reports (i) were prepared in accordance with the requirements of the Securities Exchange Act of 1934 or the Securities Act of 1933, as appropriate, and (ii) did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
