Common use of Securities Issuable in the Form of a Global Security Clause in Contracts

Securities Issuable in the Form of a Global Security. (a) If the Issuer shall establish pursuant to Section 2.4 that the Securities of a particular series are to be issued in whole or in part in the form of one or more Global Securities, then the Issuer shall execute and the Trustee shall, in accordance with Section 2.5 and the Issuer order delivered to the Trustee thereunder, authenticate and deliver, such Global Security or Securities, which (i) shall represent, and shall be denominated in an amount equal to the aggregate principal amount of, the Outstanding Securities of such series to be represented by such Global Security or Securities, (ii) shall be registered in the name of the Depositary for such Global Security or Securities or its nominee, (iii) shall be delivered by the Trustee to the Depositary or pursuant to the Depositary's instruction and (iv) shall bear a legend substantially to the following effect: "Unless and until it is exchanged in whole or in part for the individual Securities represented hereby, this Global Security may not be transferred except as a whole by the Depositary to a nominee of the Depositary or by a nominee of the Depositary to the Depositary or another nominee of the Depositary or by the Depositary or any such nominee to a successor Depositary or a nominee of such successor Depositary."

(a) If the Issuer shall establish pursuant to Section 2.4 2.3 that the Securities of a particular series are to be issued in whole or in part in the form of one or more Global Securities, then the Issuer shall execute and the Trustee shall, in accordance with Section 2.5 2.4 and the Issuer order delivered to the Trustee thereunder, authenticate and deliver, such Global Security or Securities, which (i) shall represent, and shall be denominated in an amount equal to the aggregate principal amount of, the Outstanding Securities of such series to be represented by such Global Security or Securities, (ii) shall be registered in the name of the Depositary for such Global Security or Securities or its nominee, (iii) shall be delivered by the Trustee to the Depositary or pursuant to the Depositary's instruction and (iv) shall bear a legend substantially to the following effect: "Unless and until it is exchanged in whole or in part for the individual Securities represented hereby, this Global Security may not be transferred except as a whole by the Depositary to a nominee of the Depositary or by a nominee of the Depositary to the Depositary or another nominee of the Depositary or by the Depositary or any such nominee to a successor Depositary or a nominee of such successor Depositary."

Securities Issuable in the Form of a Global Security. (a) If the Issuer Company shall establish pursuant to Section 2.4 3.01 that the Securities of a particular series are to be issued in whole or in part in the form of one or more Global Securities as Registered Securities or Unregistered Securities, then the Issuer Company shall execute and the Trustee shall, in accordance with Section 2.5 3.03 and the Issuer order Company Order delivered to the Trustee thereunder, authenticate and deliver, such deliver a Global Security or Securities, Securities which (i) shall represent, and shall be denominated in an amount equal to the aggregate principal amount of, the Outstanding Securities of such series to be represented by such Global Security or Securities, (ii) shall be registered in the name of the Depositary for such Global Security or Securities or its nominee, (iii) shall be delivered by the Trustee to the Depositary or pursuant to the Depositary's instruction instruction, and (iv) shall bear a legend substantially to the following effect: "Unless and until it is exchanged Except as otherwise provided in Section 2.05 of the Indenture, this Security may be transferred, in whole or but not in part for the individual Securities represented herebypart, this Global Security may not be transferred except as a whole by the Depositary only to a nominee of the Depositary Depositary, or by a nominee of the Depositary to the Depositary Depositary, or another nominee of the Depositary or by the Depositary or any such nominee to a successor Depositary or to a nominee of such successor Depositary."" Each Depositary designated pursuant to Section 3.01 for a Global Security that is a Registered Security must at the time of its designation and at all times while it serves as Depositary, be a clearing agency registered under the Securities and Exchange Act of 1934, as amended, and any other applicable statute or regulation.
