Common use of Securities Redeemed or Purchased in Part Clause in Contracts

Securities Redeemed or Purchased in Part. Upon surrender of any Security redeemed in part only, the Company, and, if the terms of such Security provide for the endorsement thereon or attachment thereto of any Guarantee by any Guarantor and such terms provide for the execution of such Guarantee by such Guarantor, such Guarantor, will execute and the Trustee will authenticate for the Holder at the expense of the Company a new Security together with any such Guarantee endorsed thereon or attached thereto, equal in principal amount to the unredeemed or unpurchased portion of the Security surrendered.

Securities Redeemed or Purchased in Part. Upon surrender to the Paying Agent of any a Security to be redeemed in part onlypart, the Company, and, if Company and the terms of such Security provide for the endorsement thereon or attachment thereto of any Guarantee by any Guarantor and such terms provide for the execution of such Guarantee by such Guarantor, such Guarantor, will shall execute and the Trustee will shall authenticate for and deliver to the Holder at the expense of the such Security without service charge to such Holder, upon delivery of a Company Order and an Officers’ Certificate and Opinion of Counsel pursuant to Sections 11.04 and 11.05, a new Security together with or Securities, of the same series and of any authorized denomination as requested by such Guarantee endorsed thereon or attached thereto, equal Holder in aggregate principal amount to equal to, and in exchange for, the unredeemed or unpurchased portion of the principal of the Security surrenderedso surrendered that is not redeemed.
