Common use of Securities to Be Redeemed Pro Rata Clause in Contracts

Securities to Be Redeemed Pro Rata. If less than all the Securities are to be redeemed in any redemption, the Securities to be redeemed shall be selected by the Trustee by prorating, as nearly as may be practicable, the principal amount at maturity of Securities to be redeemed. In any proration pursuant to this Section, the Trustee shall make such adjustments, reallocations and eliminations as it shall deem proper to the end that the principal amount at maturity of Securities so prorated shall be $1,000 or a multiple thereof, by increasing or decreasing or eliminating the amount which would be allocable to any Holder on the basis of exact proportion by an amount not exceeding $1,000. The Trustee in its discretion may determine the particular Securities (if there are more than one) registered in the name of any Holder which are to be redeemed, in whole or in part. The Trustee shall incur no liabilities for any selection made pursuant to this Section 11.
