Security Agent Protected Clause Samples

The 'Security Agent Protected' clause establishes that the security agent, acting on behalf of lenders or creditors, is afforded certain protections and immunities when performing its duties under a financing arrangement. In practice, this means the security agent is not held liable for actions taken in good faith while enforcing security interests, managing collateral, or distributing proceeds among creditors. This clause ensures that the security agent can act decisively and impartially without fear of personal liability, thereby facilitating efficient administration and enforcement of security interests for the benefit of all secured parties.
