Common use of Security Agent’s obligations Clause in Contracts

Security Agent’s obligations. The Security Agent shall promptly: (a) forward to (i) each Agent and (ii) each Hedge Counterparty the contents of any notice or document received by it from any Debtor or any Security Grantor under any Debt Document; (b) forward to a Party the original or a copy of any document which is delivered to the Security Agent for that Party by any other Party provided that, except where a Debt Document expressly provides otherwise, the Security Agent is not obliged to review or check the adequacy, accuracy or completeness of any document it forwards to another Party; (c) inform (i) each Agent and (ii) each Hedge Counterparty of the occurrence of any Default or any default by a Debtor or a Security Grantor in the due performance of or compliance with its obligations under any Debt Document of which the Security Agent has received notice from any other Party; and (d) to the extent that a Party (other than the Security Agent) is required to calculate a Common Currency Amount, and upon a request by that Party, notify that Party of the relevant Security Agent’s Spot Rate of Exchange.

Security Agent’s obligations. The Security Agent shall promptlyAgent: (a) forward may copy to (i) each Agent and (ii) Agent, each Hedge Counterparty and each Operating Facility Lender the contents of any notice or document received by it from any Debtor or any Security Grantor under any Secured Debt Document; (b) shall promptly forward to a Party the original or a copy of any document which is delivered to the Security Agent for that Party by any other Party provided that, except where a Debt Document expressly provides otherwise, the Security Agent is not obliged to review or check the adequacy, accuracy or completeness of any document it forwards to another Party; (c) shall promptly inform (i) each Agent and (ii) Agent, each Hedge Counterparty and each Operating Facility Lender of the occurrence of any Default or any default by a Debtor or a Security Grantor in the due performance of or compliance with its obligations under any Secured Debt Document of which the Security Agent has received notice from any other Partyparty to this Agreement; and (d) shall promptly to the extent that a Party (other than the Security Agent) is required to calculate a Common Currency Amount, and upon a request by that Party, notify that Party of the relevant Security Agent’s Spot Rate of Exchange.

Security Agent’s obligations. The Security Agent shall promptly: (aA) forward copy to (i) each Agent and (ii) each Hedge Hedging Counterparty the contents of any notice or document received by it from any Debtor or any Security Grantor Obligor under any Debt Finance Document; (bB) forward to a Party the original or a copy of any document which is delivered to the Security Agent for that Party by any other Party provided that, except where a Debt Finance Document expressly provides otherwise, the Security Agent is not obliged to review or check the adequacy, accuracy or completeness of any document it forwards to another Party; (cC) inform (i) each Agent and (ii) each Hedge Hedging Counterparty of the occurrence of any Default or any default by a Debtor or a Security Grantor an Obligor in the due performance of or compliance with its obligations under any Debt Finance Document of which the Security Agent has received notice from any other Partyparty to this Agreement; and (dD) to the extent that a Party (other than the Security Agent) is required to calculate a Common Dollar Currency Amount, and upon a request by that Party, notify that Party of the relevant Security Agent’s Spot Rate of Exchange.
