Security Agents. All determinations of the Security Agents under the Credit Documents shall be made jointly by the Security Agents, provided that, in the event that the Security Agents cannot agree on any matter to be determined by the Security Agents, the determination shall be made by the individual Security Agent asserting the more conservative credit judgment or declining to permit the requested action for which consent is being sought by the Borrower, as applicable. This provision shall be binding upon any successor Security Agent pursuant to Section 12.9.
