Security and Financial Indebtedness. As at the Closing Date after application of the payments set forth in the Funds Flow Memorandum; (a) no Security or Quasi-Security exists over all or any of the present or future assets of any member of the Restricted Group other than as not prohibited under this Agreement; and (b) no member of the Restricted Group has any Financial Indebtedness outstanding other than as not prohibited under this Agreement.
