SECURITY DOCUMENTS ACKNOWLEDGMENT. (a) On the Restatement Effective Date, the Borrower shall have duly authorized, executed and delivered an acknowledgment in the form of Exhibit H (such acknowledgment, as amended, modified or supplemented from time to time, the "Security Documents Acknowledgment") pursuant to which, among other things, (i) the Borrower shall acknowledge and agree that the "Obligations" (as defined in each of such Security Documents) or any similar term include all of the Obligations under this Agreement after giving effect to the Transaction and (ii) the Borrower shall acknowledge and agree that, after giving effect to the Transaction, each of the Pledge Agreement and the Security Agreement, shall remain in full force and effect in accordance with their respective terms and the Borrower shall have taken all actions reasonably requested by the Administrative Agent (including, without limitation, the obtaining of UCC-11's or equivalent reports and the filing of UCC-1's or UCC-3's) in connection with the perfection and first priority status of the Liens intended to be created and/or maintained by the Pledge Agreement and the Security Agreement in the Pledge Agreement Collateral and the Security Agreement Collateral. (b) On the Restatement Effective Date, (i) the Banks shall have received evidence that the completion of all recordings and filings necessary or, in the reasonable opinion of the Collateral Agent, desirable to perfect and protect the security interests purported to be created by the Security Agreement have been taken; (ii) the Collateral Agent shall have in its possession all of the Pledged Securities which shall be either endorsed in blank (in the case of promissory notes constituting Pledged Securities) or accompanied by executed and undated stock powers (in the case of capital stock constituting Pledged Securities); and (iii) the Banks shall have received evidence that all other actions necessary or, in the reasonable opinion of the Collateral Agent, desirable to perfect and protect the first priority Lien in the Pledge Agreement Collateral and the Security Agreement Collateral, subject only to Permitted Encumbrances, have been taken, or arrangements therefor have been made on a basis satisfactory to the Collateral Agent and shall be in place.
