Security: ParentCo Liabilities. Prior to the Senior Discharge Date, ParentCo may not take, accept or receive the benefit of any Security, guarantee, indemnity or other assurance against loss in respect of any of the ParentCo Liabilities, unless the prior written consent of the Senior Agent (acting on the instructions of the Majority Senior Lenders) shall have been obtained.

  • Intercompany Liabilities Any and all Liabilities of Seller for intercompany advances, charges, or accounts payable of any kind or nature; and
