Selected Dealer Agreements. All engagements of the Dealers shall be evidenced by a Selected Dealer Agreement. The Dealer Manager will permit a Dealer to participate in the Offering only if such Dealer is a member of FINRA, registered with the SEC, duly licensed or registered by the regulatory authorities in the jurisdictions in which the Company will offer and sell Shares, and has been previously approved by the Company (such approval not to be unreasonably withheld or delayed).
