Selection of a Substitute General Partner. The vote of a Majority in Interest of the Limited Partners is necessary to select a substitute General Partner; provided, however, that so long as the Participation Agreement remains in effect, such selection of a General Partner shall be subject to the reasonable approval of the Owner Participant.
