Selection, Payment and Discharge of Independent Counsel. If the determination of entitlement to indemnification is to be made by Independent Counsel under Section 6.2 of this Agreement, the Independent Counsel shall be selected by the Board, and the Company shall give written notice to Indemnitee advising Indemnitee of the identity of the Independent Counsel so selected. The Company shall pay any and all reasonable fees and expenses of Independent Counsel incurred by such Independent Counsel in connection with his functioning as such pursuant to this Agreement.

13 14 (i) If a Change of Control has not occurred the Independent Counsel shall be selected by the Board, Board and the Company Corporation shall give written notice to Indemnitee the Employee advising Indemnitee the Employee of the identity of the Independent Counsel so selected. The Company shall pay any and all reasonable fees and expenses of Independent Counsel incurred by such Independent Counsel in connection with his functioning as such pursuant to this Agreement.
