Common use of Seller Certificate Clause in Contracts

Seller Certificate. Buyer shall have received a certificate, signed by a duly authorized officer of Seller and dated the Closing Date, to the effect that the conditions set forth in Section 7.2(a), Section 7.2(c) (with respect to covenants to be performed by Seller) and Section 7.2(d) (with respect to any Material Adverse Effect with respect to Seller) have been satisfied.

Seller Certificate. Buyer Purchaser shall have received a certificate, dated as of the Closing Date and signed on behalf of Seller by a duly authorized an executive officer of Seller and dated the Closing DateSeller, to the effect stating that the conditions set forth in Section 7.2(a6.02(a) (Representations and Warranties), Section 7.2(c6.02(b) (with respect to covenants to be performed by Performance of Obligations of Seller) and Section 7.2(d6.02(e) (with respect to any Material Adverse Effect with respect to SellerEffect) have been satisfied.

Seller Certificate. Buyer shall have received a certificate, dated the Closing Date and signed by a duly authorized officer of Seller and dated the Closing DateSeller, to the effect that each of the conditions set forth in Section 7.2(a), Section 7.2(c) (with respect to covenants to be performed by Seller8.02(a) and Section 7.2(d) (with respect to any Material Adverse Effect with respect to Seller8.02(b) have been satisfied.

Seller Certificate. Buyer The Seller shall have received furnished the Buyer with a certificate, signed by a duly authorized officer of Seller and dated the Closing DateDate and duly executed by an officer or manager, as applicable, of Seller, to the effect that the conditions set forth in Section 7.2(a), Section 7.2(c) (with respect to covenants to be performed by Seller) and Section 7.2(d) (with respect to any Material Adverse Effect with respect to Seller) 7.1 have been satisfied.;

Seller Certificate. Buyer shall have received been furnished with a certificate, signed by a duly certificate of an authorized officer of Seller and Seller, dated the Closing Date, certifying to the effect that the conditions set forth contained in Section 7.2(a), Section 7.2(c) (with respect to covenants to be performed by Seller) Sections 9.1 and Section 7.2(d) (with respect to any Material Adverse Effect with respect to Seller) 9.2 have been satisfiedfulfilled.
