Common use of Seller Consent to Buyer Transfer Clause in Contracts

Seller Consent to Buyer Transfer. Buyer may not Transfer this Agreement without Seller’s written consent, which consent shall not be unreasonably withheld. Seller shall notify Buyer in writing of its decision to grant or not grant its consent to a Transfer proposed by Buyer within 30 days after Seller receives both Buyer’s notice of the proposed Transfer and all required documentation related to the proposed Transfer required by Section 12(B) above. Notwithstanding the foregoing, where Seller’s discretion is circumscribed by applicable law, Seller may exercise such discretion to the fullest extent permitted by applicable law, so long as consent is not withheld unreasonably.
