Seller Entity Name. Except as required to provide Forward Services (as defined in the Transition Services Agreement) under the Transition Services Agreement, promptly after the Closing, and in no event later than sixty (60) days after the Closing, the Seller and its Affiliates shall cease use of all Transferred Intellectual Property, including the “COMPLEX” Trademark (collectively, the “Business Mark”). Promptly (and in any event within five (5) Business Days) following the Closing, Seller shall duly authorize and file or cause to be filed all necessary amendments to Seller’s (and any of its Affiliates’) articles of incorporation (or equivalent organizational documents) to remove from their legal entity names any reference to the Business Mark and shall provide Purchaser with evidence of such amendments.
