Seller Existence and Power. The Seller is duly organized, validly existing and in good standing under the laws of the state of its organization. The Seller is qualified to do business and is in good standing in each jurisdiction where such qualification is necessary, except where the failure to so qualify would not reasonably be expected to have a Material Adverse Effect. Immediately following the Merger Closing, the Seller shall have the requisite power and authority to own and hold the Station Assets and to operate the Stations as currently operated.
