Common use of SELLER REGISTRATION Clause in Contracts

SELLER REGISTRATION. 1. Use of this marketplace for the Sale of Products through the Platform is limited to the Seller who can lawfully enter into legally binding contract and has completed the registration process and provided relevant details as required by Letmegrab. Seller represent that Seller, in Seller's individual capacity and/or as an authorized representative of the entity (i.e., is eligible to legally bind the said entity) by registering as a Seller on the Platform and further represents that the Seller is competent to contract, is at least eighteen (18) years of age, is of sound mind and is not disabled by any Law in India from entering into this Agreement. 2. Seller also represent that the Seller has provided to Letmegrab, Seller information such as name, address i.e. address of registered office and principal place of business, contact details, email address, mobile / Land line No, bank account details, PAN No., Sales Tax Registration/declaration, and other compliance related details through the Seller Registration Form and that such information is true and correct as on date and the Seller undertakes to keep the same updated at all times during the subsistence of this Agreement. 3. Seller will be responsible for maintaining the confidentiality of the Seller Panel and the information provided therein, and shall be fully responsible for all activities that occur under Seller's Seller Panel. Seller shall neither disclose nor part with the Seller Page credentials to anyone including any third party aggregators for the purpose of managing Seller's inventory and fulfilling Seller orders. Seller agree to (a) immediately notify Letmegrab of any unauthorized use of Seller's account information or any other breach of security, and (b) ensure to log out from the Seller Panel at the end of each session. Letmegrab cannot and will not be liable for any loss or damage arising from Seller's failure to comply with this Section. Seller shall be solely responsible for any losses, damages as may be incurred by Letmegrab or any other user of, or visitor to, the Platform due to authorized or unauthorized use of Seller Panel as a result of Seller's failure in keeping the Seller Panel and the account information secure, absolute, correct and confidential. 4. Seller agrees and undertakes that Seller shall access Seller Panel of Letmegrab only from the website having url xxx.xxxxxxxx.xxxxxxxxx.xxx and shall not access the Seller Panel of Letmegrab through the website of any third party aggregators by sharing the Seller Panel credentials given to the Seller by Letmegrab. 5. Seller agrees that as a registered Seller of the Platform, Seller shall not transfer / sell / trade the Seller Panel to any other person or entity. 6. Letmegrab reserves the right to determine the Sellers who may sell on the Platform. Letmegrab also reserves the right to suspend access to registered Sellers to the Platform and the Seller Panel, or to terminate such access granted under this Agreement, without assigning any reasons thereto. Letmegrab also reserves the right to select / delist the Products displayed/offered for sale or to be displayed/ offered for sale on the Platform.

Seller will be responsible for maintaining the confidentiality of the Seller Panel and the information provided therein, and shall be fully responsible fullyresponsible for all activities that occur under Seller's Seller Panel. Letmegrab cannot and will not be liable for any loss or damage arising from Seller's failure to comply tocomply with this Section. Seller shall be solely responsible for any losses, damages as may be incurred by Letmegrab or any other user of, or visitor orvisitor to, the Platform due to authorized or unauthorized use of Seller Panel as a result of Seller's failure in keeping the Seller Panel and the andthe account information secure, absolute, correct and confidential. 4. Seller agrees and undertakes that Seller shall access Seller Panel of Letmegrab only from the website having url xxx.xxxxxxxx.xxxxxxxxx.xxx and shall not access the Seller Panel of Letmegrab through the website of any ofany third party aggregators by sharing the Seller Panel credentials given to the Seller by Letmegrab. 5. Seller agrees that as a registered Seller of the Platform, Seller shall not transfer / sell / trade the Seller Panel to any other person or entityorentity. 6. Letmegrab reserves the right to determine the Sellers who may sell on the Platform. Letmegrab also reserves the right to suspend access to registered Sellers registeredSellers to the Platform and the Seller Panel, or to terminate such access granted under this Agreement, without assigning any reasons thereto. .Letmegrab also reserves the right to select / delist the Products displayed/offered for sale or to be displayed/ offered for sale on the Platform.

SELLER REGISTRATION. 1. Seller represent represents that the Seller, in Seller's individual capacity and/or as an authorized representative of the entity (i.e., is eligible to legally bind the said entity) by registering as a Seller seller on the Platform and further represents that the Seller is Platform, are competent to contract, is are at least eighteen (18) years of age, is are of sound mind and is are not disabled prohibited by any Law in India from entering into this Agreement. 2. Seller also represent that the Seller has you have provided to Letmegrab, Seller company Seller's information such as name, address i.e. address of registered office and principal place of business, contact details, email address, mobile / Land line No, bank account details, PAN No., Sales Tax Registration/declaration, Goods and service tax registration number and other compliance related details through the Seller Registration Form and seller profile that such information is true and correct as on date and the Seller undertakes to keep the same updated at all times during the subsistence of this Agreementdate. 3. Seller will be responsible for maintaining the confidentiality of the Seller Panel and the information provided therein, and shall be fully responsible for all activities that occur under Seller's Seller Panel. Seller shall neither disclose nor part with the Seller Page credentials to anyone including any third party aggregators for the purpose of managing Seller's inventory and fulfilling Seller orders. Seller agree agrees to (a) immediately notify Letmegrab the company of any unauthorized use of Seller's account information or any other breach of security, and (b) ensure to log that Seller logs out from the Seller's Seller Panel at the end of each session. Letmegrab Company cannot and will not be liable for any loss or damage arising from Seller's failure to comply with this Section. Seller shall be solely responsible for any losses, damages as may be held liable for losses incurred by Letmegrab company or any other user of, or visitor to, the Platform due to authorized or unauthorized use of Seller's Seller Panel as a result of Seller's failure in keeping the Seller's Seller Panel and the account information secure, absolute, correct and confidential. 4. Seller agrees and undertakes that Seller shall access Seller Panel of Letmegrab only from the website having url xxx.xxxxxxxx.xxxxxxxxx.xxx and shall not access the Seller Panel of Letmegrab through the website of any third party aggregators by sharing the Seller Panel credentials given to the Seller by Letmegrab. 5. Seller agrees that as a registered Seller of the Platform, Seller shall not transfer / sell / trade the Seller Panel to any other person or entity. 65. Letmegrab Company reserves the right to determine the Sellers who may sell on the Platform. Letmegrab Company also reserves the right to suspend access to registered Sellers to the Platform and the Seller Panel, or to terminate such access granted under this Agreement, without assigning any reasons theretofor doing so. Letmegrab Company also reserves the right to select / delist the Products displayed/offered for sale or to be displayed/ offered for sale on the Platform.

Seller represent that Seller, in Seller's ’s individual capacity and/or as an authorized representative of the entity (i.e., is eligible to legally bind the said entity) by registering as a Seller on the Platform and further represents that the Seller is competent to contract, is at least eighteen (18) years of age, is of sound mind and is not disabled by any Law in India from entering into this Agreement. 22.2. Seller also represent that the Seller has provided to LetmegrabPaytm Ecommerce, Seller information such as name, address i.e. address of registered office and principal place of business, contact details, email address, mobile / Land line No, bank account details, PAN No., Sales Tax Registration/declaration, and other compliance related details through the Seller Registration Form and that such information is true and correct as on date and the Seller undertakes to keep the same updated at all times during the subsistence of this Agreement. 32.3. Seller will be responsible for maintaining the confidentiality of the Seller Panel and the information provided therein, and shall be fully responsible for all activities that occur under Seller's ’s Seller Panel. Seller shall be solely responsible for any losses, damages as may be incurred by Letmegrab or any other user of, or visitor to, the Platform due to authorized or unauthorized use of Seller Panel as a result of Seller's ’s failure in keeping the Seller Panel and the account information secure, absolute, correct and confidential. 42.4. Seller agrees and undertakes that Seller shall access Seller Panel of Letmegrab Paytm Ecommerce only from the website having url xxx.xxxxxxxx.xxxxxxxxx.xxx xxx.xxxxxx.xxxxx.xxx and shall not access the Seller Panel of Letmegrab Paytm Ecommerce through the website of any third party aggregators by sharing the Seller Panel credentials given to the Seller by LetmegrabPaytm Ecommerce. 52.5. Seller agrees that as a registered Seller of the Platform, Seller shall not transfer / sell / trade the Seller Panel to any other person or entity. 62.6. Letmegrab Paytm Ecommerce reserves the right to determine the Sellers who may sell on the Platform. Letmegrab Paytm Ecommerce also reserves the right to suspend access to registered Sellers to the Platform and the Seller Panel, or to terminate such access granted under this Agreement, without assigning any reasons thereto. Letmegrab Paytm Ecommerce also reserves the right to select / delist the Products displayed/offered for sale or to be displayed/ offered for sale on the Platform.

SELLER REGISTRATION. 12.1. Use of this marketplace Platform for the Sale of Products through the Platform is limited available only to the Seller persons who can lawfully enter into form legally binding contract contracts under the Indian Contract Act, 1872 and has completed the registration process and provided relevant details as required by LetmegrabVmaxo. Seller represent that Seller, in Seller's individual capacity and/or as an authorized representative who are "incompetent to contract" within the meaning of the entity (i.e.Indian Contract Act, is 1872 including minors, un-discharged insolvents etc. are not eligible to legally bind use the said entity) by registering Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a Seller seller on the Platform and further represents that Platform, transact or use the Seller is competent to contract, is at least eighteen (18) years of age, is of sound mind and is not disabled by any Law in India from entering into this AgreementPlatform. 22.2. Seller also represent that the Seller has provided to LetmegrabVmaxo, Seller information such as name, address i.e. address of registered office and principal place of business, contact details, email address, mobile / Land line No, bank account details, PAN No., Sales Goods and Service Tax RegistrationRegistration Number (GSTN)/certificate, Harmonized System Nomenclature Code/declaration, Service Accounting Code and other necessary compliance related details through the Seller Registration Form and that such information is true and correct as on date and the Seller undertakes to keep the same updated at all times during the subsistence of this Agreement. The requirement of providing Goods and Service Tax Registration is mandatory for all Sellers doing sale of Products/Services through the Platform. You agree that if you provide any information which is untrue, inaccurate, not current, or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with the terms of usage, we shall have the right to suspend or terminate your account on the Platform or indefinitely block you from accessing the Platform. 32.3. Seller will be responsible for maintaining the confidentiality of the Seller Panel Dashboard and the information provided therein, and shall be fully responsible for all activities that occur under Seller's ’s Seller PanelDashboard. Seller shall neither disclose nor part with the Seller Dashboard Page credentials to anyone including any third party aggregators for the purpose of managing Seller's ’s inventory and fulfilling Seller orders. Seller agree to (a) immediately notify Letmegrab Vmaxo of any unauthorized use of Seller's ’s account information or any other breach of security, and (b) ensure to log out from the Seller Panel Dashboard at the end of each session. Letmegrab Vmaxo cannot and will not be liable for any loss or damage arising from Seller's ’s failure to comply with this Section. Seller shall be solely responsible for any losses, damages as may be incurred by Letmegrab or any other user of, or visitor to, the Platform due to authorized or unauthorized use of Seller Panel Dashboard as a result of Seller's ’s failure in keeping the Seller Panel Dashboard and the account information secure, absolute, correct and confidential. 42.4. Seller agrees and undertakes that Seller shall access Seller Panel Dashboard of Letmegrab Vmaxo only from the website having url xxx.xxxxxxxx.xxxxxxxxx.xxx url: xxx.xxxxx.xxx/xxxxxx and shall not access the Seller Panel Dashboard of Letmegrab Vmaxo through the website of any third party aggregators by sharing the Seller Panel Dashboard credentials given to the Seller by LetmegrabVmaxo. 52.5. Seller agrees that as a registered Seller of the Platform, Seller shall not transfer / sell / trade the Seller Panel Dashboard to any other person or entity. 62.6. Letmegrab Vmaxo reserves the right to determine the Sellers who may sell on the Platform. Letmegrab .Vmaxo also reserves the right to suspend access to registered Sellers to the Platform and the Seller PanelDashboard, or to terminate such access granted under this Agreement, without assigning any reasons thereto. Letmegrab Vmaxo also reserves the right to select / delist the Products displayed/offered for sale or to be displayed/ offered for sale on the Platform.

Letmegrab 2.6 Paytm Ecommerce reserves the right to determine the Sellers who may sell on the Platform. Letmegrab Paytm Ecommerce also reserves the right to suspend access to registered Sellers to the Platform and the Seller Panel, or to terminate such access granted under this Agreement, without assigning any reasons thereto. Letmegrab Paytm Ecommerce also reserves the right to select / delist the Products displayed/offered for sale or to be displayed/ offered for sale on the Platform.
