Common use of Seller's Advice of Counsel Clause in Contracts

Seller's Advice of Counsel. Seller acknowledges that (a) Buyer has not made any representation as to the Federal or State tax implications relating to the transactions contemplated herein, (b) Seller has thoroughly read and reviewed the terms and provisions of this Agreement and the Exhibits attached hereto and is familiar with the terms of this Agreement, (c) the terms and provisions contained in this Agreement are clearly understood by Seller and have been fully and unconditionally consented to by it, (d) Seller has had full benefit and advice of counsel of its own selection, in regard to understanding the terms, meaning and effect of this Agreement, (e) the execution of this Agreement and of the other documents executed pursuant to this Agreement is done freely, voluntarily, with full knowledge, and without duress, (f) in executing this Agreement, Seller is relying on no other representations, either written or oral, express or implied, made to it by any other party to this Agreement, and the consideration received by it under this Agreement has been actual and adequate.
