Common use of Seller’s Affidavits; Certificates and Evidence of Authority Clause in Contracts

Seller’s Affidavits; Certificates and Evidence of Authority. (a) Any and all affidavits, indemnifications, lien releases and/or waivers and any other written documentation required by the Title Insurer as a condition to the issuance of the ALTA Extended Coverage Policy; and (b) to the extent required by the Title Insurer, Escrow Agent and/or Buyer, as applicable, evidence that Seller and those acting for Seller have due authority to consummate the transaction contemplated by this Agreement, as modified through the Closing including, without limitation, certified copies of the corporate or other resolutions authorizing the transaction contemplated by this Agreement.

(a) Any and all affidavits, indemnifications, lien releases and/or waivers indemnities and any other written documentation required by the Title Insurer or Title Agent as a condition to the issuance of the ALTA Extended Coverage applicable Title Policy; and (b) to the extent required by the Title Insurer, Title Agent, Escrow Agent and/or Buyer, as applicable, evidence that Seller and those acting for Seller have due full authority to consummate the transaction contemplated by this Agreement, as modified through the Closing including, without limitation, certified copies of the corporate corporate, limited liability company, partnership or other resolutions authorizing the transaction contemplated by this Agreement.

(a) Any Those certificates, affidavits and all affidavits, indemnifications, lien releases and/or waivers other documentation that are reasonable and any other written documentation required customarily requested by the Title Insurer as a condition to the issuance of the ALTA Extended Coverage Policy; and (b) to the extent required by the Title Insurer, Escrow Agent and/or Buyer, as applicable, evidence that Seller and those acting for Seller have due authority to consummate the transaction contemplated by this Agreement, as modified through the Closing including, without limitation, certified copies of the corporate or other resolutions authorizing the transaction contemplated by this Agreement.
