Common use of Seller’s Certificate Clause in Contracts

Seller’s Certificate. A certificate from each Seller confirming that the representations and warranties of the respective Seller as set forth in this Agreement are true and correct in all material respects as of the date of Closing.

Seller’s Certificate. A duly executed and acknowledged certificate from each executed by an authorized representative of Seller confirming indicating that the all of Seller’s representations and warranties of the respective Seller as set forth made in this Agreement are true and correct in all material respects as of the date of ClosingClosing Date as if then made.
