Common use of Seller’s Certificate Clause in Contracts

Seller’s Certificate. Sellers shall have executed and delivered to Buyer a certificate dated the Closing Date, in a form reasonably acceptable to Buyer, executed by each Seller, certifying to the fulfillment and satisfaction of the conditions specified in Sections 6.1(a) and 6.1(b).

Seller’s Certificate. Seller’s Certificate. The Sellers shall have executed and delivered to Buyer the Purchasers a certificate certificate, in form and substance satisfactory to the Purchasers, dated the Closing Date, in a form reasonably acceptable to Buyer, executed by each Sellerdate of Closing, certifying to the fulfillment and satisfaction of the conditions specified in Sections 6.1(a) 6.1 and 6.1(b)6.2 hereinabove.

Seller’s Certificate. Sellers shall have executed and delivered deliver to Buyer Purchasers a certificate signed by the Sellers, dated the Initial Closing Date, in a form reasonably acceptable to Buyer, executed by each Seller, certifying to the fulfillment and satisfaction of the conditions specified in Sections 6.1(a) and 6.1(b)Section 5.2.2, the delivery of which shall not be unreasonably withheld.

Seller’s Certificate. Sellers shall have executed and delivered to Buyer a certificate certificate, dated as of the Closing Date, in a form reasonably acceptable to Buyer, executed by each SellerSellers, certifying to the fulfillment and satisfaction of the conditions specified in Sections 6.1(a7.3(a) and 6.1(b)7.3(b) hereof.

Seller’s Certificate. Sellers shall have executed execute, acknowledge and delivered deliver to Buyer a certificate the certificates dated as of the Closing Date, in a form reasonably acceptable to Buyer, executed as required by each Seller, certifying to the fulfillment and satisfaction terms of the conditions specified in Sections 6.1(a) and 6.1(b)Section 6.02.

The Sellers shall have executed and delivered to Buyer Purchaser a certificate dated the Closing Date, in a form reasonably acceptable to Buyer, executed by each Seller, certifying to the fulfillment and satisfaction of that the conditions specified in Sections 6.1(aSection 6.2(a), (b) and 6.1(b)(c) above have been fulfilled and as to such other matters as Purchaser may reasonably request.

Sellers shall have executed and delivered to Buyer a certificate certificate, dated as of the Closing Date, in a form reasonably acceptable to Buyer, and executed by each SellerSellers' executive officer, certifying to the fulfillment effect that Sellers has duly performed and satisfaction of complied with the covenants and conditions specified set forth in Sections 6.1(a) 8.1 and 6.1(b)8.2.
