Common use of Seller’s Certificate Clause in Contracts

Seller’s Certificate. Buyer shall have received a certificate, dated the Closing Date and signed by a duly authorized officer of Seller, that each of the conditions set forth in Section 7.1(a) and Section 7.1(b) have been satisfied.

Seller’s Certificate. Buyer Seller shall have received delivered to Buyer a certificate, certificate dated the Closing Date and signed executed by a duly authorized an executive officer of Seller, Seller to the effect that each of the conditions set forth specified in Section 7.1(a) and Section 7.1(b) have been Sections 7.1 through 7.4 is satisfied.

Seller’s Certificate. Buyer Sellers shall have received delivered to Buyer a certificate, dated as of the Closing Date and signed by a duly authorized officer of SellerDate, stating that each of the conditions set forth applicable to Sellers specified in Section 7.1(asubsections (a) and (b) of this Section 7.1(b) 9.2 have been satisfied.

Seller’s Certificate. Buyer Sellers shall have received delivered to Buyer a certificate, dated the Closing Date and signed by a duly authorized officer of each such Seller, in its capacity as a Seller, to the effect that each of the conditions set forth in Section 7.1(a) and Section 7.1(b) 7.1 hereof have been satisfiedfulfilled.

Seller’s Certificate. Buyer Buyers shall have received a certificatecertificate executed and delivered by each Seller, dated as of the Closing Date and signed by a duly authorized officer of SellerDate, stating therein that each of the conditions set forth in Section 7.1(aSections 9.2(a) and Section 7.1(b(b) have been satisfiedsatisfied with respect to such Person.

Buyer shall have received been furnished with a certificate, dated the Closing Date and signed by a duly authorized officer certificate of Seller, that each dated as of the Closing Date, certifying to the effect that the conditions set forth contained in Section 7.1(aSections 6.1(a) and Section 7.1(b6.1(b) have been satisfiedfulfilled.
