Seller’s Conditions to the Close of Escrow. For the benefit of Seller, the Close of Escrow shall be conditioned upon the occurrence or satisfaction (or Seller’s written waiver thereof, it being agreed that Seller may waive such condition) of the following conditions for Seller’s benefit.

Seller’s Conditions to the Close of Escrow. Seller’s obligations under this Agreement (including, without limitation, its obligation to sell the Property to Buyer pursuant to the provisions of this Agreement) are subject to the satisfaction (or written waiver by Seller), not later than the scheduled Closing Date (or such earlier date as may be specified with respect to a condition under this Section 7.1), of each and all of the following conditions: (a) Buyer shall have timely delivered to Escrow Holder the Purchase Price in accordance with the provisions of Section 2.1; (b) Buyer shall have executed and delivered to Escrow Holder each and all of the documents to be delivered by Buyer pursuant to Section 5.1.2; and (c) each of Buyer’s representations and warranties set forth in Section 6.1 shall be true and correct as of the Close of Escrow.
